格隆匯11月20日丨ST中安(600654.SH)公佈，公司A股股票於2019年11月18日、11月19日、11月20日連續3個交易日漲停，股票交易價格存在較大波動。截止2019年11月20日，公司股票收盤價格為1.54元/股。公司現對相關風險事項説明如下，敬請廣大投資者理性投資並注意投資風險。
公司2017年、2018年連續兩年虧損，根據《上海證券交易所股票上市規則》的有關規定，公司股票已被上海證券交易所實施退市風險警示（ST），若公司2019年度經審計的歸屬於上市公司股東的淨利潤繼續為負值，公司股票可能將會被暫停上市。此外截至第三季度末，公司未經審計的歸屬於上市公司股東的淨資產為負值，若公司2019年持續出現大額虧損，則公司還將面臨淨資產為負的風險，根據上交所上市規則，如果最近一個會計年度經審計的期末淨資產為負值或者被追溯重述後為負值，上交所將對公司股票實施退市風險警示。公司敬請廣大投資者理性投資並注意投資風險。
截至2019年10月30日，公司收到上海金融法院發來的民事訴訟《應訴通知書》及相關法律文書合計584例，上海金融法院已受理的原告訴公司證券虛假陳述責任糾紛案所涉訴訟請求金額合計為人民幣313,409,582.56元（公告編號：2019-087）。因案件尚未開庭審理，公司暫無法判斷對公司本期利潤或期後利潤的具體影響數額。公司將根據《上海證券交易所股票上市規則》的有關規定，及時對公司訴訟案件的進展情況進行披露，敬請廣大投資者理性投資並注意投資風險。
截至2019年11月11日，公司2016年發行的11億公司債券已到期但尚未完成兑付，正在與債券持有人、受託管理人等相關方就債券到期處置方案保持積極溝通協商，後續進展公司將及時履行信息披露義務。公司出現未按期還本付息情形，使得公司可能面臨支付相關罰息、面臨訴訟等風險，此外為債券提供擔保的資產，亦可能存在因債權人主張擔保物權而對公司產生負面影響的風險。公司敬請廣大投資者理性投資並注意投資風險。
公司實際控制人塗國身先生及其一致行動人合計持有公司股份533,877,223股，佔公司總股本的比例為41.61%，累計質押股份479,098,000股。因自身訴訟事項，其所持公司股權已被司法輪候凍結，累計被凍結股份527,977,838股，佔其合計所持公司股份的98.89%，佔公司總股本的41.15%。前述質押、凍結暫未對公司控制權產生影響，暫未影響公司的生產經營，也未導致公司股權分佈不具備上市條件。但鑑於中恆匯志持有的公司股份質押比例較高且已觸碰預警平倉線，其持有的公司股份後續仍存在因其他訴訟或訴前保全被凍結或被處置的風險。公司敬請廣大投資者理性投資並注意投資風險。
