實豐文化(002862.SZ)擬終止募投項目“玩具生產基地建設項目”
格隆匯11月20日丨實豐文化(002862.SZ)公佈，公司於2019年11月20日召開了第二屆董事會第二十次會議、第二屆監事會第十七次會議，審議通過了《關於終止部分募集資金投資項目的議案》，公司董事會同意終止募集資金投資項目“玩具生產基地建設項目”，該議案尚需提交股東大會審議。
該項目建設內容為玩具產品生產廠房及配套設施建設，購置國內外先進設備，招聘高素質生產人員、技術人員和管理人員等，形成自動化程度較高的生產基地。項目總建築面積為39,000.00平方米。該項目已由廣東省汕頭市澄海區發展和改革局備案(備案項目編號：150583244010013)。項目總投資12,908.58萬元，建設期2年。
終止部分募集資金投資項目的原因如下：
1、項目用地無法落實
玩具生產基地建設項目用地位於汕頭市澄海區鳳翔街道丹霞路東面、濱海北路西面，總面積29,026.20平方米，規劃用途為工業用地。過去兩年，上市公司已經按照原施工計劃，陸續完成了圍牆施工建設、土地平整等項目用地基礎建設，但截至目前，該項目用地所在片區配套基礎設施建設尚未完備，導致項目施工困難，從而項目建設處於停滯狀態。上市公司曾積極尋找新的建設用地，但經考察地塊或存在動遷問題或建設條件不滿足等原因而無法找到合適的土地來開展項目。
2、目標市場環境發生變化
由於國內外市場環境和需求發生變化，玩具行業發展勢頭放緩，原項目的投資建設可行性顯著降低，募投項目的投資風險加大，基於對當前市場狀況及未來一段時間內行業發展趨勢的判斷，繼續投資預計短期內難以取得理想的經濟效益，為了降低募集資金投資風險、更好地維護上市公司及全體股東的利益，上市公司本着控制風險、審慎投資的原則，決定終止該募集資金投資項目。
公司募集資金投資項目“玩具生產基地建設項目”，目的主要是為了提高公司產能滿足市場需求。根據公司經營戰略方針調整及對未來訂單的預判，公司現有產能已經能夠滿足生產需求，繼續實施募集資金投資項目將會導致產能閒置、折舊增加，預計效益不理想，影響募集資金使用效率。公司本着審慎原則擬終止該部分募集資金投資項目是根據實際情況做出的優化調整，不會影響公司生產經營業務的開展，符合公司和股東的整體利益。
