廣電計量(002967.SZ)：擬收購方圓廣電56%股權 利於推動公司“檢測+認證”組合發展
格隆匯11月20日丨廣電計量(002967.SZ)公佈，公司計劃以自有資金收購方圓廣電檢驗檢測股份有限公司(“方圓廣電”)56%股權，其中公司通過北京產權交易所(“北交所”)參與方圓標誌認證集團有限公司(“方圓集團”)公開拍賣方圓廣電46%股權項目，公司全資子公司廣電計量檢測(深圳)有限公司(“深圳廣電計量”)以649.21萬元收購天津鯤鵬翔資產管理中心(有限合夥)(“鯤鵬翔”)持有的方圓廣電10%股權。若最終完成收購，公司對方圓廣電的持股比例將由44%提升至100%。
方圓集團已於2019年10月28日在北交所正式披露轉讓方圓廣電2300萬股股份(佔總股本的46%)項目(項目編號G32019BJ1000640)，轉讓底價為2986.38萬元，信息披露結束日期為2019年11月22日，屆時如只徵集到一家符合條件的意向受讓方，則採取協議轉讓方式成交；如徵集到兩家及以上符合條件的意向受讓方，則採取網絡競價多次報價的方式確定受讓方。公司將向北交所提交產權受讓申請，登記為該項目的意向受讓方，最終能否成為該項目的受讓方存在不確定性。
方圓廣電檢驗檢測股份有限公司經營範圍：工業品、消費品檢測；質量管理體系、環境管理體系、職業健康安全管理體系、信息技術服務管理體系、信息安全管理體系、能源管理體系、食品農產品管理體系認證、諮詢、相關技術研究和服務；一般食品農產品認證、一般工業產品認證、一般服務認證(依法須經批准的項目，經相關部門批准後方可開展經營活動)
近年來，我國大型檢驗檢測服務機構已通過新設、併購等方式，拓寬服務能力，擴大服務半徑；而國家政策如《關於整合檢驗檢測認證機構的實施意見》(國辦發〔2014〕8號)、《國務院關於加快科技服務業發展的若干意見》(國發〔2014〕49號)、《國務院關於加強質量認證體系建設促進全面質量管理的意見》(國發〔2018〕3號)等也支持國內大型檢驗檢測服務機構通過新設、併購等途徑做大做強，打造民族品牌。
方圓廣電主要從事安規認證相關的檢測服務，主要包括CCC(中國強制認證)、CQM(方圓認證)、UL認證等認證相關的檢測服務，涉及產品安全及性能檢測、自願性認證檢測、國際認證檢測、國際國內驗貨等，定位為專業性的認證檢測一體化機構。通過此次收購，公司將全資控股方圓廣電，利用方圓廣電的資源及能力，直接進入與安規認證相關的檢測領域，並通過公司高效的市場網絡，搶佔市場份額，擴大廣電計量在相關檢測領域的影響力，有利於推動公司“檢測+認證”組合發展，提升廣電計量“一站式”服務能力，促進公司長遠發展。此次收購不會對公司本期和未來財務狀況、經營成果產生不利影響。
