浙江世寶(002703.SZ)：張世權擬轉讓世寶控股30%股權予張寶義等4名家族成員

格隆匯11月20日丨浙江世寶(002703.SZ)公佈，公司於近日收到公司實際控制人張世權的通知，由於年事已高，張世權有意將企業管理工作逐步轉讓給家族內部其他年輕成員等，故張世權分別與兒子張寶義、女兒張蘭君、女婿湯浩瀚、兄弟張世忠簽署了股權轉讓協議，擬將其持有的公司控股股東浙江世寶控股集團有限公司(“世寶控股”)10%、10%、5%、5%股權分別轉讓給張寶義、張蘭君、湯浩瀚、張世忠。此次股權轉讓前後，公司實際控制人無變化，為張世權、張寶義、張蘭君、湯浩瀚、張世忠。
股權轉讓協議主要內容：
1、於股權轉讓協議簽署日，世寶控股的註冊資本為人民幣5000萬元，張世權持有世寶控股份40%的股權。
2、張世權同意出售、且張寶義、張蘭君、湯浩瀚、張世忠分別同意購買張世權在世寶控股中所持有的10%、10%、5%、5%股權。
3、此次交易按轉讓方在世寶控股設立時的出資成本計算股權轉讓價，張世權向張寶義、張蘭君、湯浩瀚、張世忠轉讓股權的轉讓價分別合計為人民幣500萬元、500萬元、250萬元、250萬元。
4、股權轉讓協議在轉讓方和受讓方簽署之日起成立，在浙江世寶股份有限公司股東大會豁免張世權股份鎖定承諾相關條款之後生效。
截至公告日，世寶控股持有公司約3.42億股A股股票，佔公司總股本43.28%。此次股權轉讓不涉及世寶控股持有公司股份的變動，因此公司控股股東在此次股權轉讓前後無變化。
