*ST龐大(601258.SH)：簽署重整投資協議 確定重整投資人為深商控股、元維資產及國民運力
格隆匯11月20日丨*ST龐大(601258.SH)公佈，重整程序中，管理人經過多方尋找和洽談，確定深圳市深商控股集團股份有限公司(“深商控股”)、深圳市元維資產管理有限公司(“元維資產”)和深圳市國民運力科技集團有限公司(“國民運力”)組成的聯合體為此次龐大集團重整的意向投資人。
經進一步協商談判，管理人與上述意向投資人簽署《關於龐大汽貿集團股份有限公司重整事宜之投資協議》，確定上述意向投資人為龐大集團此次重整的重整投資人。
乙方(深商控股、元維資產、國民運力)在參與龐大集團重整投資中，擬引入若干財務投資人與乙方共同對龐大集團進行投資。具體引入的財務投資人及投資方案，乙方最遲應在重整計劃獲得法院裁定批准之日起5日內向甲方披露。如乙方未能在前述期限內向甲方披露，視為乙方在本協議第四條中應向龐大集團提供的投資款全部由乙方承擔支付義務。
為支持龐大集團重整及後續經營發展，乙方將引入龐大集團金融債權人委員會主席、第一大債權人中國民生銀行股份有限公司為龐大集團提供不超過10億元的共益債務融資。該事項將列入重整計劃，最終以法院裁定批准的重整計劃及簽署的具體借款協議為準。
乙方及其引進的財務投資人共同向龐大集團提供不低於7億元人民幣（以下貨幣單位均為人民幣元）作為其投資金額，作為其受讓龐大集團重整中資本公積轉增股票的對價，同時作為其受讓原控股股東及關聯自然人根據龐大集團重整案出資人權益調整方案所讓渡股票的條件之一。乙方應當在重整計劃獲得法院裁定批准之日起10日內，將本協議第六條第1款約定的保證金以外的投資款，匯入甲方指定的銀行賬户。
此次重整投資協議的簽訂是龐大集團重整程序的必要環節，管理人將根據重整投資協議及其他與重整投資人、債權人、出資人的溝通情況制定重整計劃草案並提交法院及債權人會議，法院將召開債權人會議對重整計劃草案進行表決。
