光控精技(03302.HK)擬1600萬元收購上海微電子0.4%股份 進軍半導體前段設備行業
格隆匯11月19日丨光控精技(03302.HK)公告，於2019年11月19日，公司的直接全資附屬精技電子與南通半導體基金訂立股份轉讓協議，據此，精技電子有條件地同意購買及南通半導體基金有條件地同意出售58.8萬股上海微電子股份，占上海微電子全部已發行股份約0.4%。代價為人民幣1600萬元，將由精技電子於完成時以現金支付。
南通半導體基金為於2018年12月19日在中國成立的有限合夥。其主要於中國從事對高端半導體設備、泛半導體設備、智能設備設計、研發、製造、銷售及貿易、工業4.0、高端設備、智能製造、科技、媒體和電信以及其他相關領域企業進行股權投資。南通半導體基金的執行合夥人為上海光控浦燕。
上海光控浦燕為於2015年7月6日在中國成立的有限公司，併為光大控股的間接全資附屬公司。其主要從事為非上市公司進行股本集資活動及相關諮詢服務。上海光控浦燕目前在中國管理三項私募股權基金，包括南通半導體基金、南通光控智造股權投資基金合夥企業(有限合夥)及海門光控健康養老產業投資合夥企業(有限合夥)。
上海微電子集團主要從事於中國開發、設計、製造、銷售及提供半導體設備、泛半導體設備及高端智能設備技術服務。上海微電子集團的產品種類分為三大類，即(i)光刻機；(ii)激光應用及光學檢查；及(iii)特別應用。上海微電子集團致力於國產光刻機的研發，先後承擔了國家科技部863科技重大專項"掃描投影光刻機研製"和國家02科技重大專項多類先進光刻機的研製及攻關任務等科研專案。
集團的業務策略一為透過併購進軍半導體前段設備行業。集團計劃拓展其於半導體前段設備行業的市場地位，因為前段設備及後段設備行業的半導體加工設備製造商將遷至中國生產，前段設備的半導體加工設備製造商更加傾向於採用合約生產模式，故對於身為合約製造商的本集團有利。
上海微電子集團為中國領先光刻機制造商，自2017年以來為本集團半導體前段分部的客户，交易金額並不重大。董事認為收購事項不僅為本集團業務的自然擴張，更能讓本集團加強與上海微電子集團的關係。此外，上海微電子正進行於一間中國證券交易所上市的準備指引。本集團認為，倘上海微電子落實上市，其於上海微電子的投資將為本公司及股東帶來正面回報。
