越博動力(300742.SZ)收到證監會警示函
格隆匯11月19日丨越博動力(300742.SZ)公佈，公司於2019年11月18日收到中國證券監督管理委員會《關於對南京越博動力系統股份有限公司採取出具警示函措施的決定》(【2019】47號)(“警示函”)。現將內容公告如下：
“南京越博動力系統股份有限公司：
經查，我會發現你公司在申請創業板首次公開發行股票過程中，存在以下違規行為：一是你公司在出具的發審會後事項文件中，未向我會報告以下事項：2018年2月財政部發布補貼標準降幅較大的新能源汽車補貼退坡政策，及該政策可能對公司及所屬新能源汽車動力總成系統行業、對公司下游新能源汽車整車製造行業產生的影響；2018年一季度公司客户結構發生重大變化的情況及其可能對公司持續經營產生的影響；二是未在招股説明書中披露上述新能源汽車補貼退坡政策以及客户結構發生重大變化的相關內容和風險，未在招股説明書中完整披露2018年4月啟動首次公開發行前正在履行的重大銷售合同；三是擅自刪減2018年4月首次公開發行環節公告的招股説明書“重大合同”內容，該份招股説明書與向我會報送的招股説明書最終封卷稿相比，擅自刪除原披露的兩份正在履行的重大銷售合同。
上述行為違反了《首次公開發行股票並在創業板上市管理辦法》第四條的有關規定，構成《首次公開發行股票並在創業板上市管理辦法》第五十四條所述行為。按照《首次公開發行股票並在創業板上市管理辦法》第五十四條的規定，我會決定給予你公司出具警示函的行政監管措施。
如果對本監督管理措施不服，可以在收到本決定書之日起六十日內向我會提出行政複議申請，也可以在收到本決定書之日起六個月內向有管轄權的人民法院提起訴訟。複議與訴訟期間，上述監督管理措施不停止執行。”
收到上述警示函後，公司高度重視，將加強公司董事、監事、高級管理人員及相關人員對《上市公司信息披露管理辦法》等相關法律、法規的學習，切實提高公司的信息披露質量，提高相關人員勤勉盡責和規範運作的意識，提高信息披露事務的工作質量和水平，杜絕此類行為再次發生。
