和順電氣(300141.SZ)：子公司擬聯合寧夏沙坡頭收購振興光伏發電100%股權 加快公司國內光伏電站市場佈局
格隆匯11月19日丨和順電氣(300141.SZ)公佈，根據公司戰略發展的需要，公司控股子公司江蘇中導電力有限公司(“中導電力”)聯合寧夏沙坡頭水利樞紐有限責任公司(“寧夏沙坡頭”)與振發新能集團有限公司(“振發新能”或“出讓方”)於2019年11月19日簽署了《關於海原縣振興光伏發電有限公司之股權收購協議》(《股權收購協議》)，中導電力擬以自有資金收購振發新能持有的海原縣振興光伏發電有限公司(“項目公司”)20%的股權；寧夏沙坡頭擬以自有資金收購振發新能持有的項目公司80%的股權。中導電力及寧夏沙坡頭對項目公司股權均採用承債式收購，此次中導電力收購價款總額不超過人民幣5185.85萬元，該收購價款總額包含項目公司的股權收購款人民幣79.77萬元以及清償項目公司債務總額不超過人民幣5106.08萬元。
海原縣振興光伏發電有限公司經營範圍：太陽能電站建設；系統集成及運營管理；太陽能資源的開發、建設(憑資質經營)設備維護；電力技術諮詢；電量銷售，太陽能設備銷售(依法須經批准的項目，經相關部門批准後方可開展經營活動)
海原縣振興光伏發電有限公司擁有海原縣甘鹽池(二期)50MW發電項目，項目位於寧夏中衞市海原縣甘鹽池鹽場，距海原縣城40KM，海拔高度2021m，交通、運輸較為便利，項目佔地面積約1,328畝。本電站建設規模50MW，共計20個2.5MWp發電單元。
本協議項下的收購標的為出讓方合法持有的項目公司全部股權。收購完成後寧夏沙坡頭持有項目公司80%股權，中導電力持有項目公司20%股權。項目概況：海原縣甘鹽池(二期)50MW光伏電站。
中導電力分四期支付股權收購款：第一期支付人民幣19.885萬元，第二期支付人民幣7.954萬元，第三期支付人民幣7.954萬元，第四期支付43.977萬元。
振發新能集團有限公司是一家從事太陽能、風能及其它新能源技術的開發、研究、推廣服務的公司，其通過全資子公司海原縣振興光伏發電有限公司間接持有海原縣甘鹽池(二期)50MWp光伏電站項目。
截至目前，項目公司結欠中導電力施工總承包合同款及材料設備採購款等共計約人民幣1.83億元。因受光伏政策影響，項目公司面臨一定的付款壓力，中導電力聯合寧夏沙坡頭收購其100%股權是為了保證公司資金回籠安全及股東利益，加快公司國內光伏電站市場佈局，使公司擁有穩定的現金流收入，從而進一步提升公司盈利能力。
中導電力作為少數參股股東，海原縣振興光伏發電有限公司將不納入公司合併報表，此次對外投資事項預計對公司2019年度經營業績不會產生重大影響，也不存在損害上市公司及股東合法利益的情形。
