紅宇新材(300345.SZ)擬6.31億元收購鉑睿智恆75%股權切入移動互聯網行業 明起復牌
格隆匯11月19日丨紅宇新材(300345.SZ)公佈，公司擬以非公開發行股份及支付現金的方式購買鉑暉科技、酷賽投資合計持有的鉑睿智恆75%股權，交易金額暫為6.31億元。
另外，公司通過詢價方式向包括華民集團、盧光輝在內的不超過5名特定對象發行股份募集配套資金，募集配套資金總額不超過2.7億元且發行股份數量不超過上市公司股本總數的20%，募集配套資金在扣除此次發行相關中介費用後用於此次交易現金對價的支付。上市公司實際控制人控制的企業華民集團將認購不低於9000萬元、公司引入的戰略投資者盧光輝將認購不低於8000萬元。
酷賽投資、鉑暉科技承諾，目標企業在業績承諾期內各年度淨利潤數(合併報表中扣除非經常性損益前後歸屬於母公司股東的淨利潤孰低)如下：2019年度不低於7000萬元，2020年度不低於9100萬元，2021年度不低於11830萬元。業績承諾期內，若某年度的承諾利潤數低於《評估報告》中該年度的預測利潤數，則當年的承諾利潤數以《評估報告》中該年度的預測利潤數為準。
公司主營業務為：1、在礦山、水泥和火電行業推廣高效球磨綜合節能技術，為客户“提產、節能、降耗、環保”提供綜合解決方案；2、可控離子滲入(PIP)技術的產業化推廣，有效提升金屬零部件的耐磨耐腐蝕性能，增強客户產品的競爭力。
由於下游行業火電、水泥、氧化鋁及鐵礦行業持續不景氣，行業市場規模較小，公司自2012年上市後收入和盈利規模持續下降，2017年出現上市後的首次虧損，2018年，公司實現營業收入10,457.48萬元，較上年同期下降30.81%；實現歸屬於母公司淨利潤-28,517.08萬元，較上年同期下降471.50%。
公司原有的主營業務已經連續兩年虧損，在此背景下，公司在2019年3月完成了控制權的變更，2019年4月完成了管理層的變更。
鉑睿智恆是移動互聯網服務及智能終端軟硬件整體方案提供商，主營業務為智能終端的一體化設計、應用分發、APP安裝、廣告推廣等移動互聯網服務。
通過此次交易，公司通過重大資產重組的形式切入移動互聯網行業，公司持續盈利能力和發展潛力將大幅提升，公司的資產質量和盈利能力亦將有所增強。
經公司申請，公司股票將於2019年11月20日上午開市起復牌。
