中航三鑫(002163.SZ)：通飛公司擬轉讓海南特玻30.84%控股權 公司擬放棄優先受讓權
格隆匯11月19日丨中航三鑫(002163.SZ)公佈，2018年7月17日，公司六屆十三次董事會審議通過了《關於擬轉讓子公司海南特玻部分股權的議案》，公司通過國有產權交易市場公開掛牌轉讓海南中航特玻材料有限公司(“海南特玻”)13%的股權給海南新澳洋實業有限公司。股權轉讓完成後，海南特玻的控股股東變為中航通用飛機有限責任公司(“通飛公司”)，公司不再把海南特玻納入合併報表範圍。
目前，控股股東通飛公司根據國資委“處僵治困”工作目標，擬通過國有產權交易市場公開掛牌轉讓其持有的海南特玻30.84%控股權，公司作為海南特玻參股股東，擬放棄優先受讓權。根據深交所《股票上市規則》及相關法律法規，由於通飛公司是公司控股股東、公司與海南特玻同受通飛公司控制，根據《上市公司規範運作指引》相關規定，此次放棄優先受讓權事項同樣構成關聯交易，關聯董事朱強華、傅俊旭、宋慶春由於在通飛公司或其關聯單位任職，按規定採取迴避表決；公司獨立董事出具了事前認可函，並對上述關聯交易事項發表了獨立意見。
由於通飛公司此次轉讓海南特玻控股權是通過國有產權交易市場公開掛牌轉讓方式進行，目前股權轉讓的受讓方和交易價格均未明確，公司將持續跟進該事項的進展，視最終交易的受讓方以及價格決定是否應提交公司股東大會履行審批程序。
海南中航特玻材料有限公司經營範圍：投資建設在線LOW-E鍍膜節能玻璃、IT薄片玻璃、鋁硅高強(航空、高鐵、防火防爆玻璃)、超白太陽能玻璃、相關配套的玻璃深加工產品生產及銷售，採掘、洗選、加工、銷售各類精製石英砂產品，技術諮詢，對外玻璃工程承包，玻璃技術與裝備出口，進出口業務。
根據通飛公司提供的資料顯示，此次股權轉讓是控股權的轉讓，公司擬向通飛公司表示放棄此次股轉優先受讓權，為此股權轉讓後，公司不會成為海南特玻的第一大股東，也不會將海南特玻合併財務報表，公司將繼續持有海南特玻27.44%的參股權。
