創新醫療(002173.SZ)暫時限制康瀚投資、建恆投資股東權利
格隆匯11月19日丨創新醫療(002173.SZ)公佈，公司第五屆董事會2019年第十次臨時會議審議通過了《關於暫時限制康瀚投資、建恆投資股東權利的議案》，公司董事會同意暫時對上海康瀚投資管理中心(有限合夥)(“康瀚投資”)、齊齊哈爾建恆投資管理合夥企業(有限合夥)(“建恆投資”)兩名股東的所有股東權利進行限制，待相關股份權利瑕疵及不確定事項明晰後，再依法享有並行使相應股東權利。
公司2015年6月23日召開的第四屆董事會第十二次會議及2015年10月8日召開的2015年第一次臨時股東大會審議通過了《關於公司發行股份購買資產並募集配套資金的議案》，並經中國證券監督管理委員會《關於核准千足珍珠集團股份有限公司向上海康瀚投資管理中心(有限合夥)等發行股份購買資產並募集配套資金的批覆》（證監許可[2015]2696號）核准，公司向康瀚投資、建恆投資等發行股份購買建華醫院100%股權，建華醫院於2016年1月7日辦妥相關股權轉讓變更登記手續，成為公司全資子公司。康瀚投資、建恆投資取得的公司股份於2016年2月15日在深圳證券交易所登記上市。根據公司與康瀚投資等簽署的《發行股份購買資產協議》、《發行股份購買資產協議之補充協議》，康瀚投資對建華醫院2016年度、2017年度、2018年度經營業績進行承諾，並約定了相應補償措施。
根據國家企業信用信息公示系統查詢，康瀚投資的執行事務合夥人為上海康垚企業管理中心，上海康垚企業管理中心繫樑喜才控制的個人獨資企業，樑喜才為康瀚投資的實際控制人；建恆投資的執行事務合夥人為齊齊哈爾立健投資諮詢有限公司，齊齊哈爾立健投資諮詢有限公司的法定代表人為黃毅，黃毅系建恆投資的實際控制人。公司擬暫時限制康瀚投資、建恆投資股東權利的具體原因如下：
1、樑喜才、黃毅等原建華醫院管理層存在背信損害上市公司利益的情況
2、康瀚投資拒絕履行2018年度業績補償義務，損害上市公司及廣大股東利益。
3、康瀚投資、建恆投資的股東身份存在不確定性
4、建華醫院100%股權存在重大減值跡象，或將導致康瀚投資需要向公司追加支付股份補償
綜上所述，由樑喜才、黃毅實際控制的康瀚投資、建恆投資作為公司發行股份購買資產中標的資產建華醫院的原股東，其獲取公司股份所支付的對價(建華醫院的100%股權)存在重大瑕疵，存在出資義務未履行或者未全面履行或者抽逃出資的情況。且上述仲裁委員會的裁決及法院執行程序或將導致康瀚投資的股東身份喪失，其股東資格存在重大不確定性。
