易事特(300376.SZ)：放棄鹽城新能源優先認繳出資權 持股比例被稀釋至51%
格隆匯11月18日丨易事特(300376.SZ)公佈，基於擬共同對智能微電網、儲能市場進行深度開展項目和業務合作，公司(“丙方”)及公司的全資子公司易事特集團(鹽城)新能源有限公司(“鹽城新能源”或“乙方”)、實際控制人何思模(“丁方”)擬與鹽城經濟技術開發區光谷產業投資基金(有限合夥)(“鹽城投資”或“甲方”)達成合作意向，引進鹽城投資作為戰略投資方，同意其以現金方式對鹽城新能源進行增資，公司放棄優先認繳出資權，增資完成後鹽城投資將持有鹽城新能源49%的股權，公司持有鹽城新能源51%的股權。
易事特鹽城新能源技術有限公司經營範圍：太陽能儲能設備、電源、新能源充電樁及配套設備、光伏設備及元器件、通信系統設備(除衞星電視廣播地面接收設備)、通信終端設備、匯流箱、配電櫃製造、研發、銷售(國家有專項規定的除外)；太陽能、風能發電系統及儲能系統的技術開發、技術轉讓、技術諮詢、技術服務；新能源汽車充電站設施的建設和運營管理服務；新能源技術開發、技術轉讓、技術諮詢、技術服務；手機及零配件銷售；計算機網絡信息系統集成服務；應用軟件開發；建築智能化安裝工程設計、施工；設計，製作、代理、發佈國內廣告(國家有專項規定的從其規定)；自營與代理各類商品及技術的進出口業務(國家限制和禁止企業經營的商品及技術除外)；國內貿易代理；普通貨物倉儲(除危險品)。
協議的主要內容：
1、各方一致同意，投資方向目標公司投資人民幣3億元認購目標公司新增註冊資本4900萬元,其中4900萬元計入註冊資本，剩餘2.51億元計入資本公積金。具體出資方式如下：第一筆1億元：2019年11月20日前完成資金到賬工作；第二筆1億元：2020年一季度完成資金到賬工作；第三筆1億元：2020年12月底前完成資金到賬工作。2、目標公司和控股股東承諾，增資款應全部用於目標公司核心業務的推廣、研發、生產及目標公司董事會決定的其它與核心業務相關的運營資金支出。非經投資方一致書面同意，目標公司不得將增資款用於向目標公司對現有股東、董事、高級管理人員和核心人員及與上述各方關聯方償還債務(工資除外)或者向其提供借款。3、目標公司現有股東同意放棄此次增資的優先認購權。4、就上述增資，當甲方提出回購要求時或相關事項觸發時，丙方需以甲方對乙方全部實際增資金額加上年化利率8%收益之和再扣除甲方收到乙方全部現金分紅作為對價進行現金回購。若丙方未能如期支付回購款，每逾期一日，丙方應當向甲方支付應支付而未支付金額的千分之一作為違約金。5、為確保丙方依約履行上述協議，丁方願意對丙方的違約行為以保證方式向甲方提供不可撤銷的連帶責任擔保。
此次為鹽城新能源引入戰略投資者增資，符合公司及子公司未來發展戰略，有利於公司加快智能微電網、儲能市場業務在華東地區的推進和佈局，促進公司整體業務快速發展。此次增資完成後，易事特集團仍持有鹽城新能源51%的股份，仍然為控股地位。不會對公司財務及經營狀況產生重大影響，不存在損害公司及全體股東利益的情形。實際控制人何思模為公司提供的擔保為無償擔保，不會對公司獨立性產生影響，不存在損害公司及中小股東合法權益的情形。
