荃銀高科(300087.SZ)與前海中新融創、TCL集團等共設廣東融創基金
格隆匯11月18日丨荃銀高科(300087.SZ)公佈， 根據公司戰略目標，為更好地運用外延式拓展手段促進公司發展，公司擬通過與專業投資機構合作設立股權投資基金的方式嘗試篩選、儲備、培育更多更有利於公司產業發展的優質資產，提升公司資源整合能力及產業競爭力。為此，公司擬使用自有資金1億元人民幣參與投資廣東融創嶺嶽智能製造與信息技術產業股權投資基金合夥企業(有限合夥)(“廣東融創基金”或“合夥企業”或“基金”)。
2019年11月18日，公司與深圳前海中新融創資本管理有限公司(“前海中新融創”)、寧波梅山保税港區創溢資產管理合夥企業(有限合夥)(“創溢資產”)、TCL集團股份有限公司(“TCL集團”)、廣東粵財產業投資基金合夥企業(有限合夥)(“廣東粵財”)、重慶昊融睿工投資中心(有限合夥)(“昊融睿工”)、唐盈(寧夏)投資管理有限公司(“唐盈投資”)、重慶小康工業集團股份有限公司(“小康股份”)簽署了《廣東融創嶺嶽智能製造與信息技術產業股權投資基金合夥企業(有限合夥)合夥協議》，共同投資設立廣東融創基金。廣東融創基金組織形式為有限合夥企業，目標募集規模30億元人民幣，擬分兩期募集，其中：預計首期目標募集規模20.3億元，公司作為有限合夥人認繳出資1億元人民幣，佔首期目標募集規模的4.93%，具體出資時間以基金管理人發出的書面繳付出資通知為準；後續目標募集規模9.7億元。
同時，公司與前海中新融創、中新融創資本管理有限公司(“中新融創”)簽署了《廣東融創嶺嶽智能製造與信息技術產業股權投資基金合夥企業(有限合夥)合夥協議補充協議》，基金將關注農業科技領域、荃銀高科主營業務及其相關聯的全產業鏈上符合基金投資方向的項目，由基金、中新融創或其關聯方投資總額不低於2億元。
投資方向：合夥企業對外投資集中於以下領域：廣東省鼓勵和支持發展領域的投資，重點關注智能製造與信息技術及其二者服務升級應用領域的投資。
合夥企業可投向中早期、成長期、成熟期全階段企業，包括但不限於合夥人主營業務及其相關聯的全產業鏈上符合基金投資方向的項目。
同時，基金將關注農業科技領域、荃銀高科主營業務及其相關聯的全產業鏈上符合基金投資方向的項目，由基金、中新融創或其關聯方投資總額不低於2億元。具體項目投資需滿足基金的投資策略和投資要求，以基金投資決策委員會最後決策為準。
