中船防務(600685.SH)：簽署收儲地塊補償協議 若2019年內完成將增加公司今年利潤總額13.46億元
格隆匯11月18日丨中船防務(600685.SH)公佈，2014年，根據廣州市“退二進三”城市規劃，公司荔灣廠區地塊被列為需搬遷的區域，並要求儘快完成搬遷工作。結合公司戰略發展規劃，為提高公司盈利能力，有序實施荔灣廠區產能轉移工作，便於今後土地開發，公司已於2014年底以公司荔灣廠區地塊共計39.37萬平方米(“廣船地塊”)及附屬資產出資設2立了廣州廣船船業有限公司(“廣船船業”)；2015年，公司將廣船船業100%股權劃轉至公司子公司廣船國際有限公司(“廣船國際”)；2015年年底，廣船國際將廣船船業100%股權以公開掛牌出售的方式轉讓給了上海凌翔股權投資有限公司。
中船防務與廣州市荔灣區政府、中信泰富(中國)投資有限公司(“泰富中投”)於2017年9月29日在廣州簽署了《荔灣區廣船地塊央企總部集聚區戰略合作備忘錄》，三方將盡快啟動廣船地塊改造，共建荔灣區廣船地塊央企總部集聚區，打造國家級科創產業園區。
目前，廣船地塊的使用權人為廣船船業，廣船國際作為原廣船地塊的擁有人，為政府認可的廣船國際生產基地搬遷及土壤修復實施人。廣船船業現已開展廣船地塊的土地開發工作，廣船地塊中的4.48萬平方米(“地塊一”)現已臨近拍賣。
根據廣船地塊及基準地價大幅提升的實際，為加快推進土壤治理修復、辦理地塊一補償事宜，廣船船業需要廣船國際協助積極協調政府，同步推進土壤修復和地塊一的土地拍賣工作。因此，廣船船業擬與廣船國際簽訂《廣船國際荔灣廠區收儲地塊一補償協議》，以更好推進廣船地塊開發等工作。
廣船國際同意積極協調政府，同步加快推進土壤修復和地塊一的土地拍賣工作，以便順利推進開發項目實施。廣船船業同意，按照廣船地塊39.37萬平方米的面積，依據現行地價補差3625元/平方米的標準，向廣船國際支付地塊補償費用，合計含税金額14.27億元。同時雙方明確：
(一)廣船國際負責的土壤修復工作不影響土地拍賣工作。
(二)廣船國際應積極協調政府相關部門，保證廣船地塊土地出讓方案的批覆於2019年12月30日之前獲得政府批准並實現年內掛牌,力爭實現拍地成交。
(三)廣船船業同意於2019年內向廣船國際支付補償費用的50%，人民幣7.14億元，廣船船業在一期土地掛牌出讓後收到財政土地款後三個月內向廣船國際支付剩餘款項人民幣7.13億元。廣船國際須提供税務認可的合規票據作為廣船船業付款前提。
(四)廣船國際已完全適當履行本協議全部義務之前提下，廣船船業未按本協議規定的條件支付給廣船國際補償費用，每延遲一天，應按延遲支付部分金額的萬分之五向廣船國際支付違約金。
為加快推進土壤治理修復、辦理地塊一土地收儲補償事宜，廣船船業擬與廣船國際簽訂《補償協議》，以更好推進廣船地塊開發等工作。如按上述協議於2019年內完成相關工作後，將增加公司2019年度利潤總額約13.46億元，具體會計處理須以會計師年度審計確認後的結果為準。
