延安必康(002411.SZ)：周新基、陝西北度可能減持公司股份
格隆匯11月18日丨延安必康(002411.SZ)公佈，公司於2019年11月18日分別收到公司董事、持股5%以上股東周新基、實控人李宗鬆一致行動人陝西北度的通知，周新基、陝西北度前期所質押股份存在的被動減持情況並未得到全部解決，仍需與相關質權人進行積極溝通，但未來可能仍存在繼續被動減持的情形；同時周新基為償還個人債務，擬減持所持部分公司股份。
鑑於周新基系公司董事，自2019年11月18日起至12月31日，周新基2019年度剩餘可減持數量為28.8380萬股，佔公司總股本的0.02%；2020年1月1日至3月12日期間，擬減持數量不超過截至2019年12月31日周新基所持公司股票的25%，且遵守任意連續90個自然日通過集中競價交易減持股份數量不超過公司總股本的1%；通過大宗交易方式減持股份數量不超過公司總股本的2%。
陝西北度擬自2019年12月10日起90個自然日內通過集中競價或大宗交易方式被動減持公司股份不超過1867.1927萬股，即不超過公司總股本的1.22%。其中，根據《深圳證券交易所上市公司股東及董事、監事、高級管理人員減持股份實施細則》第四條第二款規定：“股東通過集中競價交易減持上市公司非公開發行股份的，除遵守前款規定外，在股份限制轉讓期間屆滿後十二個月內，減持數量還不得超過其持有的該次非公開發行股份的百分之五十”，故截至2020年1月1日，陝西北度通過集中競價交易不超過655.4954萬股，即不超過公司總股本的0.43%。任意連續920個自然日內，陝西北度及其一致行動人合計通過集中競價減持股份的總數不得超過公司股份總數的1%，通過大宗交易減持股份的總數不得超過公司股份總數的2%。
截至2019年11月15日，周新基持有公司股份1.0448億股，佔公司總股本的6.82%；陝西北度持有公司股份1867.1927萬股，佔公司總股本的1.22%。
