伊戈爾(002922.SZ)子公司擬斥1400萬元馬來西亞林吉特收購DEG公司70%股權
格隆匯11月18日丨伊戈爾(002922.SZ)公佈，公司擬通過全資子公司Eaglerise Development HK Company Limited(“香港伊戈爾”)以自有資金1400萬元馬來西亞林吉特收購位於馬來西亞雪蘭莪州的DEGINDUSTRIAL SUPPLIES SDN.BHD. (“DEG”)公司70%股權。其中，將以800萬元馬來西亞林吉特認購DEG公司66.67萬股新增股份，以600萬元馬來西亞林吉特收購原股東持有的DEG公司49.97萬股現有股份。此次交易前，公司未持有DEG公司股權，此次交易完成後，香港伊戈爾將持有DEG公司70%的股份，DEG公司將成為香港伊戈爾的控股子公司。
DEG INDUSTRIAL SUPPLIES SDN.BHD.主營業務：照明設計、銷售以及製造LED室內和室外燈具。
DEG原股東承諾2020年至2022年三年平均税後淨利潤不低於167萬元馬來西亞林吉特，三年平均淨利潤以經伊戈爾委任的會計師依照中國會計準則的審計結果為準。
此次收購DEG公司有助於規避中美貿易摩擦對公司出口業務的不利影響，符合公司長期戰略，是公司佈局海外生產製造基地的重要一環，有利於提高公司的國際市場競爭力，提升對客户的快速響應能力，降低產能全部集中在國內的運營風險，滿足國際市場需求。
此次交易對價以現金方式支付，不涉及發行股份，不會對公司的股權結構產生影響。此次交易完成後，香港伊戈爾將持有DEG公司70%的股權，標的公司將納入公司合併財務報表範圍。此次交易符合公司的發展戰略目標，對公司的持續經營能力、損益及資產狀況無不良影響。
此次收購DEG公司符合公司國際化戰略發展方向，利於優化公司產能及海外戰略佈局，提高公司業務開展的效率和有效性，促進公司可持續發展，維護公司及其全體股東的利益。
