維信諾(002387.SZ)擬將部分與AMOLED模組相關的專利技術轉讓給廣州國顯 預計對2019年度利潤總額影響約3.61億元
格隆匯11月18日丨維信諾(002387.SZ)公佈，公司與廣州東進景瑞城市投資發展有限公司及廣州新型顯示科技投資合夥企業(有限合夥)共同投資設立廣州國顯科技有限公司(“廣州國顯”)，在廣州市增城經濟技術開發區內投資第6代柔性有源矩陣有機發光(AMOLED)模組生產線(“廣州模組生產線”)項目。
為推進廣州模組生產線項目順利進行，確保廣州國顯在模組業務方面的技術水平和研發能力，以及在項目建成後能儘快啟動AMOLED模組相關的生產、研發工作。公司及下屬控股公司擬與廣州國顯簽署《專利轉讓合同》。同意公司按照合同約定將持有的部分與AMOLED模組相關的專利技術轉讓給廣州國顯，廣州國顯按合同約定的條款支付相應的費用。公司已委託北京北方亞事資產評估事務所(特殊普通合夥)對此次擬轉讓專利進行評估，評估金額為人民幣5.073億元，根據評估結果，交易雙方經協商一致同意本次專利轉讓費用為人民幣5億元。
廣州模組生產線定位高端柔性產品，涵蓋曲面、摺疊、穿戴和車載等新興領域，同時產線具備高擴產技術空間，可應對未來終端定製化全形態柔性面板產品需求。目前，公司固安第6代柔性AMO LED生產線已開始批量供貨，產能與良率處於爬坡階段，合肥第6代柔性AMOLED生產線主結構已封頂，即將啟動運行，本次向廣州國顯轉讓與模組相關的專利，能夠集中資源，強化廣州模組生產線的研發與生產能力，對進一步提升公司在模組裝配端的配套能力起到積極的促進作用。
截止2019年10月31日，公司及控股子公司專利申請總量為6681項(含申請中及本次轉讓部分)，此次轉讓的模組相關專利佔公司目前專利申請總量的5%；並且根據《專利轉讓合同》約定，此次轉讓的相關專利已經由公司及控股子公司自用/許可給合肥維信諾科技有限公司或公司及控股子公司使用的，廣州國顯確認上述自用/許可仍然有效，廣州國顯不再向上述公司收取上述專利授權使用費。
因此，此次專利轉讓事項有利於促進廣州模組生產線項目的有序推進，不會對公司日常生產經營造成影響，不存在損害公司及廣大中小股東利益的情形。
經公司初步測算，該項交易預計對公司2019年度利潤總額的影響約為3.61億元，具體金額尚需公司年度審計機構確認，以公司《2019年年度報告》為準。此次交易不會影響公司業務獨立性。
