曠達科技(002516.SZ)：擬5580.78萬元整體出售佛山曠達全部土地和廠房資產
格隆匯11月18日丨曠達科技(002516.SZ)公佈，根據市場及業務發展情況，為降低綜合成本，公司擬對全資孫公司廣州曠達汽車飾件有限公司(“廣州曠達”)下屬全資公司佛山市曠達汽車內飾材料有限公司(“佛山曠達”)的業務進行整合。為達到整合目的和效果，佛山曠達擬將其所有的、位於佛山市三水區白坭鎮匯盈路2號的土地使用權及地上建築物、配套設施(“標的物”)按構築及外觀現狀進行轉讓，並於2019年11月18日與交易對方正式簽署《工業用地及地上建築物、配套設施轉讓合同》，轉讓總價款5580.78萬元。
交易合同的主要內容顯示，甲方(轉讓方)：佛山市曠達汽車內飾材料有限公司；乙方(受讓方)：佛山市金英堅智能科技有限公司，
甲、乙雙方同意標的物中工業用地及地上建築物及配套設施的總轉讓價款合計為人民幣5580.78萬元。
甲方轉讓標的物給乙方的轉讓總價款含下述税費的價款為人民幣5580.78萬元，該價款包括甲方應交的企業所得税、增值税265.75萬元，地方附加31.89萬元，印花税2.79萬元。
上述總價款為雙方協商暫定價格，如政府相關部門認定的計税價格高於協議約定價格(人民幣5,580.78萬元)而造成税收負擔增加的[包括但不限於增值税、附加税、印花税、企業所得税、土地增值税(如有)]，乙方同意承擔該增加部分而支出的税費。甲方調整含税的合同總價款，如甲方與乙方對調整後的含税合同總價款不能達成一致，此次交易終止，則甲方返還乙方已支付款項(不計息)。
廣州曠達於2012年8月設立佛山曠達，並於2012年12月在佛山白坭投資建設形成複合、裁剪、縫製一體化的工廠。由於市場及行業情況變化，目前佛山曠達的產能不飽和，同時與廣州曠達部分產品重合。公司為降低成本，提高資金使用效率，決定處置佛山曠達的全部土地和廠房資產，同時佛山曠達在原地址租賃部分廠房繼續運行，並逐步整合廣佛之間的業務，實現廣佛協同作戰，降低綜合成本。
此次出售資產所得款項將作為公司日常經營資金使用，出售資產將使公司本期淨利潤增加約876萬元(最終以審計機構審計確認後的結果為準)。
