大中華金融(00431.HK)擬7.65億元收購新雲聯投資全部股份 拓展金融服務廣度
格隆匯11月17日丨大中華金融(00431.HK)公告，於2019年11月16日，該公司、公司全資附屬Good Set Investments Limited為買方、賣方力裕有限公司訂立收購協議。據此，賣方擬出售目標公司新雲聯投資有限公司全部已發行股本及銷售貸款(即目標公司於完成時應付及結欠賣方全部款項總額)(均不附帶任何產權負擔)，收購代價將透過發行可換股票據方式結付。
收購代價將為人民幣7.65億元，由公司透過於完成時根據特別授權發行可換股票據的方式支付。初始轉換價每股轉換股份1.00港元較11月15日收市價每股0.1980港元溢價約405.1%。
收購事項須待先決條件(其中包括股東授出必要批准)獲達成或(如適用)豁免後方告完成。公司、買方及顧問亦有條件訂立諮詢協議，據此，公司將根據一般授權發行1億股股份，以結付顧問就收購事項向集團提供諮詢服務諮詢費。發行價每股代價股份0.2港元較11月15日收市價每股0.1980港元溢價約1.0%。
目標集團旗下業務主要圍繞經中國煙草專賣局審核通過享有煙草專賣資格的約560萬煙草零售商户，以煙草渠道為基礎，展開非煙商品電商業務、金融業務(包括小貸業務)、廣告業務等，賦能煙草零售商户，並輻射、覆蓋至上述煙草零售商户所觸及的煙民和其背後家庭。截止目前，目標集團旗下已有440萬家煙草零售商户的註冊用户。
於公佈日期，目標集團於重組後由目標公司、外商獨資企業及其附屬公司組成。經營附屬公司主要包括(i)新雲聯雲及其附屬公司(新雲聯雲集團)；及(ii)於中煙新商盟電子商務間接股權。截至2017年及2018年12月31日止年度，由於中煙新商盟電子商務尚未成為目標公司聯營公司，故有關財政年度呈列的合併財務報表概無將中煙新商盟電子商務計入目標集團。因此，目標集團財務資料將呈列為新雲聯雲集團未經審核合併財務資料及中煙新商盟電子商務未經審核綜合財務報表。
經考慮(i)目標集團的業務性質及業務模式；(ii)新商盟電子商務平台超過440萬名註冊用户的客户組合；及(iii)目標集團經潛在借款人的授權後能夠獲得評估潛在借款人信譽的即時可得數據，董事會認為收購事項可藉合併目標集團的業務，將集團的貸款融資服務進一步拓展至中國煙草零售户市場，提高集團於中國的市場份額及地域覆蓋。
收購事項完成後將為公司的中國發展帶來積極影響，可以大大拓展公司中國金融服務的廣度和深度，以服務眾多煙草零售小店滿足其融資需求為目標，構建全方位的金融服務模式，同時拓展廣告、電子商務等業務。這符合公司深耕國內供應鏈金融服務的企業戰略，也符合發展普惠金融，支持小微企業發展的國家政策。
