中國軟件(600536.SH)：天津麒麟擬採取增發股份並股權出售的方式實施股權激勵
格隆匯11月15日丨中國軟件(600536.SH)公佈，根據公司發展戰略和經營管理的需要，依據《國有科技型企業股權和分紅激勵暫行辦法》(財資[2016]4號)等相關規定，公司子公司天津麒麟信息技術有限公司(簡稱天津麒麟)擬採取增發股份並股權出售的方式實施股權激勵，其中新增股份數量為555萬元註冊資本(佔增資後註冊資本的9.99%)，天津麒麟原股東放棄此次增資的優先認購權。增資完成後，天津麒麟註冊資本增至5555萬元，公司的出資額不變仍為2000萬元，佔註冊資本的比例降至36%，控股股東定位不變。
此次股權激勵擬以4.06元/股的價格將企業股權有償出售給激勵對象，激勵對象為與天津麒麟簽訂勞動合同的重要技術人員和經營管理人員，包括董事、總經理孔金珠等共計69人，激勵對象通過兩家有限合夥企業間接持有激勵股權，其中天津金海一號有限合夥企業(有限合夥)持有280萬元出資、天津金海二號有限合夥企業(有限合夥)持有275萬元出資。本股權激勵方案已根據相關規定獲得中國電子信息產業集團有限公司的批准。
天津麒麟成立於2014年12月，註冊資本5000萬元，註冊地天津市濱海新區，本公司持有其40%股權，為其控股股東。該公司主營業務定位於操作系統技術的研究、產品開發及產業化推廣。根據中天運會計師事務所（特殊普通合夥）的審計，截至2018年12月31日，天津麒麟總資產為12386.14萬元，淨資產為6305.5萬元，2018年實現營業收入6191.30萬元，淨利潤687.54萬元；根據未經審計的財務報表，截至2019年9月30日，天津麒麟總資產為19799.75萬元，淨資產為8222.7萬元，2019年1-9月實現營業收入5177.64萬元，淨利潤1917.2萬元；根據銀信資產評估有限公司以2019年2月28日為基準日的評估，天津麒麟股東全部權益價值為20300萬元(4.06元/股)。此次股權激勵增發股份的價格按照不低於所有者權益評估值的原則確定。
天津麒麟增發股份實施股權激勵，有利於建立股東與核心團隊之間的利益共享與約束機制，對於激勵和穩定核心團隊，保障企業戰略目標和經營目標的實現，支撐公司信息安全業務的發展具有重要的意義，符合股東的長遠利益。
