宣亞國際(300612.SZ)：張秀兵申請辭去董事長等職 鄔濤申請辭去首席執行官(總裁)職務
格隆匯11月15日丨宣亞國際(300612.SZ)公佈，公司於近日收到公司董事長、部分董事、高級管理人員及監事會主席遞交的書面辭職報告。
為了加速公司轉型升級，促進公司核心管理團隊進一步年輕化和專業化，張秀兵申請辭去在公司擔任的董事長、董事、戰略委員會主任委員、提名委員會委員職務，辭去上述職務後，不再擔任公司任何職務。張秀兵的辭職不會導致公司控制權發生變更，作為公司實際控制人之一，張秀兵將繼續按照相關規定履行相應承諾及義務。
因個人原因，萬麗莉申請辭去在公司擔任的董事職務，辭去上述職務後，仍擔任宣亞國際有限公司財務經理職務；閆貴忠申請辭去在公司擔任的董事、審計委員會委員職務，辭去上述職務後，仍擔任北京品推寶移動科技有限公司、北京新兵連文化傳媒有限公司、北京宣亞國際品牌諮詢有限公司、北京愛售科技有限公司、北京威維體育文化有限公司監事職務。
根據《中華人民共和國公司法》和《公司章程》等相關規定，張秀兵、萬麗莉、閆貴忠的辭職將導致公司董事會成員數量低於法定最低人數。為保證董事會正常運作，上述董事將按照相關規定繼續履行公司董事職責至股東大會選舉新任董事產生。公司將按照相關程序，儘快完成非獨立董事的補選和董事長的選舉工作。
因個人原因，於偉傑申請辭去公司監事會主席、監事、內審部主任職務，辭去上述職務後，仍在公司擔任董事長辦公室文員職務。根據《公司法》、《公司章程》等相關規定，於偉傑的辭職將導致公司監事會成員數量低於法定最低人數，其辭職報告將自公司選任新職工代表監事就任後生效，在新職工代表監事就任前，於偉傑將按照相關規定繼續履行監事會主席、監事職責。公司將按照相關程序，儘快完成職工代表監事的補選、監事會主席的選舉和內審部主任的聘任工作。
因工作安排，鄔濤申請辭去公司首席執行官(總裁)職務，辭去上述職務後，仍擔任廣州宣亞品牌管理有限公司總經理，廣州宣亞品牌管理有限公司執行董事，北京宣亞國際品牌諮詢有限公司執行董事、經理，北京品推寶移動科技有限公司執行董事、總經理，雲目未來科技(湖南)有限公司董事，天津星言云匯網絡科技有限公司董事長，北京愛售科技有限公司執行董事，北京新兵連文化傳媒有限公司執行董事、經理職務。
根據《公司法》、《公司章程》等相關規定，鄔濤的辭職報告自送達董事會之日起生效。鄔濤辭去首席執行官(總裁)職務後，將由公司副總裁、董事、財務總監賓衞代為履行職責，公司董事會將按照相關程序，儘快聘任新的首席執行官(總裁)。
