新元科技(300472.SZ)子公司簽訂《喀左有線雙向互動網絡改造項目戰略合作協議》
格隆匯11月14日丨新元科技(300472.SZ)公佈，為了踐行“十三五”規劃提出的實施智能製造工程,構建新型製造體系,促進新一代信息通信技術等產業發展壯大的目標，以“擁抱人工智能新時代、工業互聯網平台,通過自身智能裝備製造方面的科技創新優勢，由“工業智能+”向“智慧城市”不斷拓展，肩負起振興產業升級，實現中國創造的歷史使命，並以此作為新元科技的戰略發展方向。
為整合信息產業鏈資源，提升項目實施效率，公司子公司北京邦威思創科技有限公司(“邦威思創”或“乙方”)與喀左縣通晟廣播電視網絡有限公司(“甲方”)於2019年11月14日簽署了《喀左有線雙向互動網絡改造項目戰略合作協議》，項目改造總金額為3000萬元(本金額額度為預算額，最終金額以實際發生額為準)。
協議的合作內容為“喀左有線雙向互動網絡改造”項目建設整體合作實施。即在“喀左有線雙向互動網絡改造”整體規劃下，將項目分為機房前端設備建設（子項目一）、網絡雙向互動建設改造工程（子項目二）和終端設備改造工程（子項目三）等三個子項目。項目改造總金額為3000萬元(本金額額度為預算額，最終金額以實際發生額為準)，預計在12個月內分期改造完成。各子項目具體內容如下：
子項目一：機房前端設備的建設。
1)新增180套節目的監控監測，增強網絡的安全性和可靠性；
2)完成寬帶業務的升級，實現用户寬帶上網；
3)實現遼寧省有線網絡節目的點播互動。
子項目二：實現喀左縣8萬户單向網絡的雙向互動改造。
1)完善中心機房到小區的光網絡建設；
2)小區到户的光纖入户或EPON及EoC雙向網改。
子項目三：分批次完成用户機頂盒和上網終端的發放部署。
1)將目前的單向標清機頂盒更新為遼寧省有線網絡版本的雙向高清機頂盒；
2)實現雙向上網終端包括光貓、EoC等終端的發放部署。
根據項目的規劃方案，在本框架戰略合作協議簽署之後，甲乙雙方根據項目的實際需求分別簽署子項目建設合同，並由乙方負責完成各子項目的系統集成等建設內容，甲方在各子項目建設完成後，分期完成各子項目資金的支付。
甲方承諾乙方是“喀左有線雙向互動網絡改造”項目的唯一系統總集成商，未經乙方允許，甲方不得將子項目授權給第三方。乙方配合甲方完善喀左有線雙向互動網絡建設的規劃、設計等工作。乙方負責項目設備的採購，項目所需的乙方自產設備價格按同期最終用户最低價格執行，外採設備價格不得高於同期市場價格。喀左有線雙向互動網絡建設各子項目由乙方實施完成後，甲方需配合乙方並保證在1個月內完成相關項目的驗收。
該合同屬於子公司日常經營性合同，合同的簽訂和履行對公司未來年度的業績將會產生積極影響，但合同的履行不會對公司業務的獨立性產生重大影響，公司及子公司的主要業務亦不會因履行合同而對上述合同當事人形成依賴。
