易華錄(300212.SZ)擬公開掛牌轉讓Infologic 20%股權
格隆匯11月14日丨易華錄(300212.SZ)公佈，公司擬將持有的Infologic Pte Ltd(“Infologic”)20%股權在產權交易所掛牌公開對外轉讓，股權轉讓完成後易華錄持股40%，由控股變為參股。為了貫徹國務院2016年8月關於“國有企業瘦身健體，增強核心競爭力”的工作要求，易華錄對現有子公司業績及未來發展情況進行深入的研究分析，制訂了瘦身健體實施方案，易華錄決定將Infologic公司列入國有企業瘦身健體計劃。交易完成後，Infologic將由易華錄的控股子公司變為參股子公司。同時隨着公司“數據湖+”戰略轉型的進一步推進，此次轉讓控股子公司部分股權有利於進一步優化公司產業結構，提升資本運營效率，集中優勢資源發展數據湖業務。
此次公開掛牌轉讓以北京國融興華資產評估有限公司對Infologic公司2018年12月31日資產評估價值為定價參考，以不低於520.00萬元的價格公開掛牌徵集受讓方，受讓方持股比例20%。易華錄持股比例由60%降至40%，董事席位降為兩人，不再享有Infologic公司的控制權。
本次交易將在上海聯合產權交易所以公開掛牌轉讓方式進行，尚無確定受讓方，交易對方的情況將以最終摘牌的受讓方為準。
Infologic公司是易華錄的控股子公司，是易華錄2015年為拓展海外市場，實現易華錄在智能交通領域的“走出去”戰略增資548萬元併購的第一家海外子公司。
Infologic公司是位於新加坡的民航和軌道交通軟件供應商，具備較強的產品競爭力。公司以機場信息服務為基礎，致力於開發領先的產品及服務，成為機場信息服務完整解決方案提供商，以滿足國內外機場建設需求，通過研發，持續加強產品創新力和競爭力。近年來，Infologic根據易華錄公司“數據湖+”戰略，在中國的業務以民航業務為主，在新加坡積極拓展智能交通和其他業務，在文萊、馬來西亞、菲律賓也已展開了市場活動。
交易完成後，Infologic將由易華錄的控股子公司變為參股子公司，有效貫徹落實了央企瘦身健體工作，同時有利於易華錄更好的實施“數據湖+”戰略，更大程度地發揮公司優勢，實現業績的提升。
