格隆匯11月14日丨華陽國際(002949.SZ)公佈,公司於2019年11月14日召開第二屆董事會第八次會議,審議通過了《關於公司擬參與聯合競買龍華區民治街道A810-0043地塊的議案》,同意公司以自有或自籌資金與其他3家企業(“各方”或“各合作方”)組成聯合體共同參與位於龍華區民治街道A810-0043地塊(“目標地塊”)國有建設用地使用權的掛牌出讓競買,並授權公司法定代表人或其指定代理人辦理相關手續及簽署相關文件。
宗地號:A810-0043;土地位置:龍華區民治街道;使用年限:30年;用地性質:工業用地(新型產業用地);准入行業類別:科學研究和技術服務業之“城市規劃、勘察設計、建築設計、市政設計、政策諮詢等城市建設管理專業服務”;土地面積:25524.12平方米;建築面積:83200平方米;競拍起始價:人民幣3.09億元;競買保證金:人民幣6189萬元。
項目總建築面積為83200平方米,在滿足《深圳市龍華區產業發展監管協議》(“監管協議”)約定的相關條款下,各合作方出資組成聯合體共同參與競買目標地塊。具體出資比例及權益分配比例以各方營收和税收總額為基數計算。預計公司可獲得的建築面積佔比約為43.59%(面積約為36,267平方米),需要支付的土地出讓金約1.35億元人民幣(以上價格為預估價格,具體發生金額以實際發生額為準)。
公司此次參與聯合競買土地使用權,主要是為公司辦公場地儲備資源,滿足未來發展對經營用地的需求,有利於公司優化資源配置,增強公司實力,促進公司穩健可持續發展。此次競買土地使用權事項符合公司長遠發展規劃,符合全體股東和公司的利益,不會對公司的財務狀況及經營業績產生重大不利影響。
