恩達集團控股(01480.HK)擬與奧園集團就深圳恩達電路板廠市區更新項目開展合作

格隆匯11月13日丨恩達集團控股(01480.HK)宣佈,於2019年11月13日,公司的直接全資附屬公司YT Group與奧園商業地產及奧園有限公司訂立框架協議,據此,YT Group將與奧園集團就位於中國深圳坪山區的恩達電路板廠市區更新項目的可能合作展開共同發展。

根據框架協議,訂約各方同意YT Group須:促使奧園集團成為市區更新項目的具名發展商;向奧園集團轉讓其於恩達實業的權益,代價為人民幣1億元;及向奧園集團轉讓地塊C及地塊D的土地使用權,並與奧園集團訂立搬遷補償協議,YT Group將收取搬遷補償合共人民幣6億元,有關款項將由奧園集團經參考市區更新項目進度以現金分期支付;及重新安置將建於該等地塊上總面積約2萬平方米的物業作為回報。

根據框架協議,YT Group將於其收訖上述搬遷補償至少人民幣3億元及轉讓恩達實業的人民幣1億元后兩年內,搬遷其目前位於該等地塊的生產設施,惟受若干付款條件(其中包括完成向奧園集團轉讓於恩達實業的權益及向奧園集團抵押恩達電路位於地塊C及地塊D的物業)所規限。

該等地塊包括四幅位於中國深圳坪山區龍田街道南布社區的地塊,總地盤面積約73,345.09平方米。地塊A及地塊B目前由宏恩達持有,而地塊C及地塊D目前由恩達電路持有。該等地塊由集團主要用作深圳廠房及相關員工宿舍

董事相信,搬遷生產設施將不會嚴重干擾集團業務,亦不會對集團財務表現構成任何重大不利影響。董事亦相信,遷往產能相同的同類生產設施涉及的搬遷開支及其附帶的一切成本將低於上述搬遷補償,而公司現正按可接受條款物色合適物業,以適時搬遷生產設施。集團認為把大批量生產基地搬離深圳有助進一步降低勞動成本、保持競爭力,同時亦計劃將生產基地轉移到大灣區其他城市,配合整體經濟發展佈局。

董事注意到,根據深圳市坪山區人民政府及深圳市規劃局聯合推出的"燕子湖片區綜合性城市設計國際諮詢",坪山政府已制定策略規劃以支持坪山發展,由於集團認為深圳勞動成本增加,為保持競爭力及配合恩達電路板廠現址規劃用途改變,經公司董事會及專業顧問共同研究後決定,為配合集團長遠發展,計劃除保留集團總部及研發部門外,計劃將其大批量生產基地逐步遷往大灣區。公司亦就涉搬遷具體事宜,已經成立特別小組包括設備技術專業人員及顧問協調搬遷計劃及進度。

董事相信,可能合作響應政府策略規劃,倘可能合作得以落實,將可釋放該等地塊的經濟價值及帶來提高股東回報的機會。董事進一步相信,可能合作(如落實)將讓集團得以藉助中國奧園在物業發展方面的豐富經驗。
