穗恆運Ａ(000531.SZ)擬設立控股子公司投資廣東台山海宴鎮200MWp漁業光伏發電項目
格隆匯11月13日丨穗恆運Ａ(000531.SZ)公佈，2019年11月13日，公司第八屆董事會第四十次會議審議通過了《關於設立控股子公司投資廣東台山海宴鎮200MWp漁業光伏發電項目的議案》。同意：公司與中國能建設計公司、中國能建廣東院在廣東台山海宴鎮合作投資開發200MWp漁業光伏發電項目，項目規劃總裝機容量200MWp，項目靜態總投資8.65億元，動態總投資8.8億元。裝機容量分別為200MWp。並設立項目公司——廣東台山海宴新能源有限公司(暫定名，最終以登記機關核定為準)，負責開發、建設、運營該項目。項目公司註冊資本為2.2億元。其中，公司認繳出資1.32億元，佔股比60%，中國能建設計公司、中國能建廣東院擬各認繳出資4400萬元，各佔股比20%(如中國能建設計公司最終決定不參與投資該項目，則其意向持股由中國能建廣東院承接，即中國能建廣東院認繳出資8800萬元，佔股比40%)。授權公司經營班子代表公司董事會，根據法規按照程序辦理此次設立控股子公司投資廣東台山海宴鎮200MWp漁業光伏發電項目有關事宜。包括但不限於簽署各種協議文件、證照辦理、落實投入資金並控制建設成本等。
廣東台山海宴鎮200MWp漁業光伏發電項目；項目服務範圍：本項目建成投運後，供電江門電網，儘可能緩解江門電網電量短缺情況，提高光伏發電在能源結構中的比重。
設立項目公司廣東台山海宴新能源有限公司(暫定名，最終以登記機關核定為準)；註冊資本2.2億元；主營項目類別：電力、熱力生產和供應業。經營範圍：光伏發電、電力銷售、光伏發電項目投資；水產養殖及銷售、禽畜養殖及銷售；漁業科技研究；農業項目投資；種植；農作物、中草藥；食用農產品銷售；旅遊項目投資。(以工商行政管理部門核准登記為準)
項目建設工期為12個月，光伏電站施工於開工後第3月中旬開始，分批實施，首批於第6月中旬完工，首批工程於第6月底投產運行。後續分批陸續完工併網，持續至第12月底全部併網投產(具體以實際情況為準)。
公司主業為電力、熱力生產和供應，目前主要是燃煤機組。在國家嚴格控制燃煤發電機組、大力發展清潔新能源的背景下，公司投資建設投資廣東台山海宴鎮 200MWp漁業光伏發電項目是緊抓新能源發展機遇、做大做強主業、促進公司持續發展的重大舉措。有利於公司培育新的利潤增長點。根據湖南省電力設計院編制的可行性研究報告，工程靜態投資約8.65億元，單位千瓦靜態投資為4323.75元/kW；工程動態總投資約8.8億元，單位千瓦動態投資為4401.90元/kW。根據可研報告的測算結果顯示，項目投資靜態回收期(税後)為10.97年，全部投資財務內部收益率(税後)為8.07%，資本金(25%)財務內部收益率(税後)為14.57%，資本金淨利潤率(ROE)12.97%。以上數據為初步預測，具體以實際情況為準。
