贛能股份(000899.SZ)下屬豐城三期發電廠擬簽訂《EPC總承包合同補充協議》
格隆匯11月12日丨贛能股份(000899.SZ)公佈，為推動豐電三期項目建設，公司與中南院多次磋商，雙方一致同意加快推進項目復工工作，做好項目復工前所有相關準備工作。針對該項目自停工以來所發生的停工損失、設備材料漲價等有關費用事宜，雙方經過友好協商，秉着互信互諒、共同分擔的原則，根據《中華人民共和國合同法》、《中華人民共和國建築法》等相關法律規定，雙方就EPC合同後續執行相關事宜達成一致意見。經公司2019年第六次臨時董事會審議通過，同意在《EPC總承包合同》基礎上籤訂《EPC總承包合同補充協議》。
補充協議主要內容：
甲方：江西贛能股份有限公司豐城三期發電廠；乙方：中國電力工程顧問集團中南電力設計院有限公司
由於設備材料、基材價格出現大幅上漲，為了順利推進本項目復工建設，雙方同意就本補充協議簽訂之前發生的事由與EPC合同執行直接有關的、且項目執行過程中必然會發生的有關費用進行調整。
1、甲乙雙方同意調增的費用總額約為約4.83億元。具體金額以合同執行過程中實際發生金額為準；
2、調增費用的分攤比例：公司承擔比例為49.9%，中南院承擔比例為50.1%；
3、補充協議簽署生效後，中南院應立即啟動與施工承包商及設備材料供貨商的合同談判工作，公司全程參與，雙方共同全力推進項目復工工作；
4、協議生效之日起，雙方同意按照已審定的新的工期執行，即20+4個月的工期。目前豐電三期擴建工程尚未復工，建設工期20+4個月為復工后豐電三期建成所需工期；
5、根據《EPC總承包合同》中附件八：《安全生產協議書》第六條規定，扣除中南院安全保證金200萬元，中南院補齊安全保證金至1000萬元，作為項目後續執行的安全保證金。
《EPC總承包合同補充協議》的簽訂是在《EPC總承包合同》的基礎上進行的增補及變更，保證了《EPC總承包合同》的繼續履行，對豐電三期項目復工起到了實際推動作用，合同總價款的調整將導致豐電三期項目實際投資額增加。補充協議的簽訂不會對公司當期損益造成影響，不會影響公司正常生產運營，不會損害公司及全體股東、特別是中小股東利益。
