航錦科技(000818.SZ)：終止籌劃重大資產重組
格隆匯11月12日丨航錦科技(000818.SZ)公佈，公司於2019年11月12日召開第八屆董事會第3次臨時會議，審議通過了《關於公司終止發行股份及支付現金購買資產並募集配套資金的議案》，經審慎研究，公司董事會決定終止此次重大資產重組事項。
此次交易方案包括髮行股份及支付現金購買資產和募集配套資金兩部分。
公司擬以發行股份及支付現金的方式，購買成都國光電氣股份有限公司5名股東合計持有的98.00%的股權，購買成都思科瑞微電子有限公司4名股東合計持有的100%的股權。同時，向不超過10名特定投資者募集不超過8億元的配套募集資金，募集配套資金總額不超過擬發行股份購買資產交易價格的100%，且配套融資發行的股份數量不超過此次發行前總股本的20%。
此次發行股份購買資產與募集配套資金的成功實施互為前提，最終募集配套資金髮行成功與否與此次發行股份購買資產行為的實施互為條件，其中任何一項未能成功實施，則此次重大資產重組自始不生效。募集配套資金的最終發行數量將以中國證監會核准的發行數量為準。募集資金到位後，如實際募集資金淨額少於擬使用募集資金總額，不足部分由公司自籌資金解決。
此次交易完成後，公司將持有國光電氣98.00%的股權和思科瑞100%的股權。
自籌劃此次發行股份及支付現金購買資產並募集配套資金事項(“重組”)以來，公司及公司聘請的中介機構積極推進此次重組工作。在推進過程中，各方就交易方案進行了多次論證。鑑於目前外部市場環境和公司發展規劃均發生了較大變化，包括1)公司產品戰略由“單一軍工產品”調整為“軍工民用產品並舉”戰略：在集成電路產品領域，公司原先的產品戰略是以軍用芯片為基礎，逐步向軍用部件級、系統級產品方向發展，根據目前的市場環境和國家的產業政策，公司產品戰略做了相應調整，決定在軍用芯片和軍用集成電路產品的基礎上，向民用芯片產業和民用市場拓展，把公司打造成軍、民兩用芯片的專業型企業；2)“外延式併購發展”路徑調整為“內生性發展”路徑：為了配合新的發展路徑，公司於2019年11月12日召開第八屆董事會第3次臨時會議，審議通過了《關於調整子公司股權結構的議案》，擬對軍用集成電路板塊子公司的股權架構進行調整，便於後續的芯片和集成電路業務的內生性發展、專業化經營、價值發現和資本運作。基於上述考慮，繼續推進重組事項將會與公司新擬訂的未來發展規劃存在衝突。經認真聽取各方意見，並與相關各方充分溝通、調查論證，與交易對手方進行初步溝通、友好協商一致，經審慎研究，決定終止此次重組事項，並簽訂《關於解除資產收購協議書》。
