平煤股份(601666.SH)擬與中國平煤神馬集團簽訂資源整合委託服務協議
格隆匯11月12日丨平煤股份(601666.SH)公佈，此次公司擬與中國平煤神馬集團簽訂《資源整合委託服務協議》，委託中國平煤神馬集團向河南省國土資源廳等主管部門代為申請並取得公司生產礦井深部資源“河南省寶豐縣賈寨-郟縣唐街煤炭資源勘查”項目成果探礦權。根據河南省礦產資源儲量評審中心出具的《河南省寶豐縣賈寨—郟縣唐街煤詳查報告》評審意見書(豫儲評字【2014】46號)，本區各可採煤層煤類主要為焦煤、1/3焦煤、肥煤，可作煉焦煤及動力用煤。詳查報告提交資源儲量14.4694億噸，其中勘查範圍內共獲得1500m以淺資源量13.4889億噸。
中國平煤神馬集團作為公司的控股股東，持有公司約12.81億股股份，佔公司已發行股數的54.27%，為公司關聯方。根據《上海證券交易所股票上市規則》的規定，此次交易構成關聯交易。
公司擬與中國平煤神馬集團簽訂《資源整合委託服務協議》，其主要內容如下：
甲方為平頂山天安煤業股份有限公司，乙方為中國平煤神馬能源化工集團有限責任公司。
1、甲方作為乙方旗下的煤炭資源上市平台，負責對煤炭資源進行整合優化。同時乙方作為河南省國有資產監督管理委員會下屬的重點大型能源化工企業，享有更多的優惠政策，在煤炭行業擁有較多優勢社會資源，甲方依託乙方優勢，通過其向河南省國土資源廳等有關主管部門申請獲取“河南省寶豐縣賈寨-郟縣唐街煤炭資源勘查”項目成果探礦權。
2、甲方擬委託乙方為其在符合甲方行業特點及經營需求的情況下，為甲方申請獲取上述項目成果探礦權。
3、在協議簽署前，乙方已向河南省國土資源廳等主管部門支付該項目預配置款23.8252億元(以河南省國土資源廳等主管部門實際開具發票或行政事業單位收據所列金額為準)，甲方首期向乙方支付5億元人民幣用作乙方前期申請資源配置的預付代墊費用，以繼續加快推進該項目探礦權申請，後續資金支付根據公司資金狀況和項目進度另行簽訂補充協議。合同所支付的預付代墊費用可用於衝抵資源轉讓價款。
4、為支持甲方煤炭資源整合，乙方無償為甲方提供申請配置等相關服務。
5、如在五年期限內，乙方未能為甲方實現鎖定探礦權資源並向甲方進行轉讓的，甲方按照協議已先期向乙方支付的款項加計參照同期銀行存款利息計算的金額由乙方退回至甲方。
此次交易完成後可有助於提前鎖定深部資源儲量，未來將增加公司的煤炭資源儲備，延長公司部分主力礦井的生產服務年限，有利於公司長期穩定的可持續發展，且符合公司以煤為本、做大做強煤炭生產經營的發展戰略。
