新綸科技(002341.SZ)簽訂戰略合作協議 與地方政府平台共謀發展
格隆匯11月12日丨新綸科技(002341.SZ)公佈，公司主營業務包括電子功能材料、新能源材料、光電顯示材料、高性能纖維材料、實驗室&淨化系統、超淨產品、電子材料構件、智能模塑等，致力成為新材料產業的領跑者及值得信賴的合作伙伴。鑑於銀川經濟技術開發區管理委員會與銀川市人民政府國有資產監督管理委員會對新材料產業長期看好，在招商銀行股份有限公司的協助下，合作各方以互惠互利、共謀發展為宗旨，在平等、自願、誠信的基礎上就相關事宜達成共識，並簽訂戰略合作協議。
銀川經濟技術開發區管理委員會為銀川市人民政府的派出機構與工作部門，行使與銀川經濟技術開發區建設有關的自治區級經濟管理權限，實行“封閉式管理、開放式運行、自主式開發”。
銀川市人民政府國有資產監督管理委員會為銀川市人民政府的派出機構與工作部門，依照相關法律法規規章履行出資人職責，監管市屬企業國有資產，以及國有資產的管理工作。
此次協議顯示：甲方一：銀川經濟技術開發區管理委員會；甲方二：銀川市人民政府國有資產監督管理委員會；乙方：深圳市新綸科技股份有限公司；丙方：侯毅。
此次合作內容包括但不限於：控制權安排、股權轉讓、產業合作及資金支持等，主要如下：
（一）、控制權安排：丙方同意以包括但不限於表決權放棄、表決權委託及股權轉讓等方式使甲方成為上市公司實際控制人，甲方同意通過其指定主體對丙方給予紓困支持，具體事項由雙方另行簽署正式協議進行約定。
(二)、產業合作：
1、遷址：丙方承諾，在簽署協議後5日內召開董事會審議通過並公告乙方的註冊地遷址至甲方一指定地區的相關事宜。
2、產業落地：甲乙雙方同意在新材料領域開展深度合作，包括且不限於鋰電池鋁塑膜、PBO纖維等領域，確保乙方新增產能落地銀川。
乙方遷址完成後，甲方一同意全力配合乙方相關產業項目在銀川落户，為乙方及雙方合作項目爭取優惠政策、金融配套支持等。
3、資金支持：甲方同意通過其指定主體為乙方提供不低於5億元的流動性支持，用於乙方項目建設及經營，滿足乙方業務快速發展過程中的資金需求。其中由甲方二控制的銀川通聯資本投資運營有限公司以包括但不限於供應鏈貿易等方式給予乙方3億元資金支持，其餘資金由甲方協調金融機構提供。
此次簽訂戰略合作協議，基於各方對新材料產業的長期看好，公司與地方政府平台優勢互補、互惠互利、共謀發展。此次合作為公司的持續穩定的發展帶來積極影響。
