英唐智控(300131.SZ)終止非公開發行股票事項
格隆匯11月11日丨英唐智控(300131.SZ)公佈，2019年11月11日，公司第四屆董事會第二十五次會議審議通過了《關於公司簽署非公開發行股票終止協議並撤回申請材料的議案》，決定終止此次非公開發行股票事項，同意公司與深圳市賽格集團有限公司(“賽格集團”)簽署《關於終止深圳市英唐智能控制股份有限公司與深圳市賽格集團有限公司之
<附條件生效的股份認購協議>
的協議》(“《終止協議》”)，並向中國證券監督管理委員會(“中國證監會”)申請撤回相關申報文件。同日，公司與賽格集團簽署了該終止協議，胡慶周也與賽格集團簽署了《關於終止深圳市賽格集團有限公司與胡慶周之
<附條件生效的股份轉讓框架協議>
的協議》。同時，公司控股股東胡慶周與賽格集團另行簽署了《胡慶周等與深圳市賽格集團有限公司股份轉讓及表決權委託協議》，賽格集團將以受讓存量股份、接受表決權委託的形式成為公司的國資戰略投資者並逐步取得對公司的控制權，且後續賽格集團不排除通過參與公司非公開發行、協議受讓、二級市場增持等方式，進一步增強對公司的控制權。
鑑於公司2018年籌劃通過非公開發行股票事項引入國資戰略投資者以來，投入大量人力物力積極推動相關事項不斷前進，但由於宏觀經濟形勢、資本市場環境以及公司實際情況的變化，截至目前能否在短期內獲得核准仍具有不確定性。考慮公司自身經營情況，為能更快更好地引進國資戰略投資者，尋求合作共贏契機，為公司營造優勢融資環境、解決公司融資難的問題、促使公司業務的進一步發展。公司與原非公開發行股票認購對象賽格集團等多方反覆溝通，最終決定放棄通過非公開發行股票的方式引入賽格集團這一國資戰略投資者。賽格集團通過受讓控股股東胡慶周所持公司股份及接受其剩餘公司股份表決權委託的方式加快實現賽格集團獲得公司控制權的目的。
因此，公司與賽格集團簽署了《終止協議》終止此次非公開發行股票事項，並計劃向中國證監會申請撤回公司此次非公開發行股票的申請。
目前，公司日常生產經營情況正常，此次終止非公開發行股票事項，主要是基於近期資本市場環境等因素的變化，綜合考慮內外部因素後做出的審慎決策，不會對公司的日常生產經營造成重大影響，不存在損害公司及全體股東、特別是中小股東利益的情形。
同時，賽格集團將以受讓存量股份、接受表決權委託的形式加快成為公司的國資戰略投資者並逐步取得對公司的控制權，且後續賽格集團在取得表決權委託後的1年內，啟動通過協議受讓、二級市場增持、參與非公開發行等方式，以取得對英唐智控的控股權。
