華誼嘉信(300071.SZ)子公司擬向迪思公關增資3000萬元
格隆匯11月11日丨華誼嘉信(300071.SZ)公佈，北京迪思公關顧問有限公司(“迪思公關”)為公司全資子公司天津迪思文化傳媒有限公司(“天津迪思”)100%控股子公司，即為公司全資孫公司。為應對當前經濟形勢變化，提升公司全資孫公司迪思公關的綜合競爭力和業務規模，為其業務拓展提供進一步支持，公司全資子公司天津迪思擬使用自有資金對迪思公關進行增資，認繳金額為人民幣3000萬元。此次增資認繳完成後，迪思公關注冊資本為人民幣5000萬元。
北京迪思公關顧問有限公司經營範圍：信息諮詢；美術設計；計算機軟硬件的技術開發、技術轉讓、技術諮詢、技術培訓；技術服務；公關策劃；市場調查；電腦圖文設計、製作；翻譯服務；設計、製作、代理、發佈廣告；承辦展覽展示活動；組織文化藝術交流活動(不含演出)。(企業依法自主選擇經營項目，開展經營活動；依法須經批准的項目，經相關部門批准後依批准的內容開展經營活動；不得從事本市產業政策禁止和限制類項目的經營活動。)
此次增資，天津迪思將以現金方式對迪思公關增資，待公司2019年第五次臨時股東大會審議完成後予以實施。此次增資以每股1元的價格進行增資。此次增資完成後，不改變迪思公關的董事、監事、高級管理人員。
此次對迪思公關增資主要是受近期國內經濟形勢影響，為了拓展業務，增加投標機會，獲取更多的客户訂單。以上符合公司戰略發展規劃和業務發展需求，有利於進一步提升孫公司的綜合競爭力和業務規模。此次增資的資金來源為公司全資子公司的自有資金，增資的主要目標是進一步提升孫公司的綜合競爭力和業務規模。但是目標的達成將受行業發展情況和市場競爭狀況等因素的影響。若投資未達到預期，將會對公司的現金使用效率產生一定的影響。此次增資對象為全資孫公司，風險較小，此次增資不會對公司財務狀況和經營狀況產生不利影響，不存在損害公司及全體股東利益的情形。
