中環股份(002129.SZ)擬1.192億美元設立中環新投 認購道達爾(Total)子公司股本
格隆匯11月11日丨中環股份(002129.SZ)公佈，公司擬與Total Solar International SAS(中文名稱：道達爾太陽能國際公司，以下簡稱“道達爾(Total)”)展開合作，道達爾(Total)將其控股的全球高效太陽能電池、組件及光伏系統領先企業Sun Power Corporation(以下簡稱“Sun Power”)在美國和加拿大之外的全球太陽能電池與組件業務分拆到在新加坡註冊成立的MAXEON SOLAR TECHNOLOGIES, PTE. LTD.(以下簡稱“目標公司”)，中環股份擬認購目標公司增發的股本，認購後公司對目標公司持股比例為28.8480%，併成為其第二大股東。
中環股份以自有資金出資在新加坡投資設立獨資企業ZHONG HUAN SINGAPORE INVESTMENT AND DEVELOPMENT PTE. LTD.(中文名稱：中環新加坡投資發展私人有限公司，以下簡稱“中環新投”)，註冊資本1.192億美元，作為投資目標公司的實施主體。
Sun Power將會被分拆為兩個獨立的、均會在美國納斯達克交易所上市的公司，即Sun Power與目標公司。分拆後，由中環新投投資2.98億美元(其中40%為自有資金、60%為金融機構融資)認購目標公司增發的股本，認購後公司對目標公司持股比例為28.8480%，在滿足慣例先決條件前提下，預計2020年第二季度完成分拆和注資。
截至2019年9月29日，道達爾(Total)對Sun Power的持股比例為55.0981%(攤薄前)，在不考慮管理層限制性股票且道達爾(Total)持股數不變的情況下，道達爾(Total)在公司認購完成後對目標公司的持股比例將由55.0981%稀釋為39.2034%，但仍為第一大股東，公司對目標公司持股比例為28.8480%，為第二大股東。
