華統股份(002840.SZ)擬參與競拍四平紅嘴房地產及其附屬物
格隆匯11月11日丨華統股份(002840.SZ)公佈，2019年11月11日，公司第三屆董事會第三十次會議審議通過了《關於公司參與競拍四平紅嘴農業高新技術開發有限公司房地產及其附屬物的議案》，公司決定擬以自有資金參加吉林省蘇富比拍賣有限公司組織的關於四平紅嘴農業高新技術開發有限公司(“四平紅嘴”)房地產及其附屬物的公開競買活動，並授權公司法定代表人或授權代表在董事會權限額度範圍內競拍此次房地產及其附屬物和生豬屠宰設備，以及簽署競拍文件、成交確認書及資產轉讓協議等相關文件。
此次公司競拍的房地產及其附屬物起拍價為人民幣6800萬元，生豬屠宰設備起拍價為人民幣1000萬元，且須分別交納競買保證金人民幣3000萬元和200萬元，兩項標的可以共同或者單獨競拍。
此次競拍的房地產及其附屬物原為四平紅嘴農業高新技術開發有限公司所有，經吉林省四平市中級人民法院[(2018)吉03執18號之二]執行裁定書裁定後，由梨樹縣農村信用合作聯社所有，具體位於四平市梨樹縣梨樹開發區，其中有證建築13棟總面積33,923.52平方米，土地使用權兩宗總面積189,818.67平方米及附屬物30項。
此次競拍的116項生豬屠宰設備為吉林小田科技有限公司所有，具體位於四平市梨樹縣梨樹開發區四平紅嘴農業高新技術開發有限公司廠房內，依據吉林省梨樹縣人民法院函[(2019)吉0322執1537號)]，由梨樹縣農村信用合作聯社予以拍賣，起拍價人民幣1000萬元。競拍前需要向梨樹縣農村信用合作聯社保證金賬户繳納競拍保證金人民幣200萬元。目前該項資產尚處於法院查封狀態。
為擴大公司畜禽屠宰經營規模，推動公司戰略性發展。此次公司參加吉林省蘇富比拍賣有限公司組織的關於四平紅嘴房地產及其附屬物的公開競買活動，不會損害公司及中小股東的利益，不會對公司的財務狀況和經營成果產生重大影響。如果公司能夠成功競得此次拍賣標的，將會有利於加快公司主營業務發展，拓寬公司的業務區域範圍，符合公司的長遠規劃及發展戰略。
