方盛製藥(603998.SH)擬6006.12萬元增持佰駿醫療股權至51%
格隆匯11月11日丨方盛製藥(603998.SH)公佈，公司擬以自有資金受讓康萊健康持有的佰駿醫療26.6545%的股權，並對佰駿醫療進行現金增資；上述股權受讓及增資擴股完成後，公司將直接持有佰駿醫療33.9229%的股權，並通過同系方盛醫療基金間接持有佰駿醫療17.0771%的股權，合計持有佰駿醫療51%的股權，佰駿醫療將納入公司合併報表範圍內，成為公司控股子公司。
康萊健康將其在佰駿醫療中未實繳出資的490.06萬元註冊資本以0元轉讓給公司，公司履行實繳出資義務。
股權轉讓完成後，公司通過增資的方式實現對佰駿醫療的控股權。本次增加註冊資本202.24萬元，增資完成後，佰駿醫療註冊資本變更為2040.82萬元。公司及同系方盛醫療基金合計持有佰駿醫療51%的股權，康萊健康持有佰駿醫療49%的股權。
本次交易公司合計現金出資6006.12萬元，最終將直接持有佰駿醫療33.92%股權，其中692.30萬元計入註冊資本，5313.82萬元計入資本公積，由全體股東按持股比例共同享有。
佰駿醫療發展勢頭良好，整合效應已逐步顯現，營業收入增長較快，但因前期投資新建、併購整合多家市縣專科醫院，且前期綜合運營成本高，導致資金需求大。因此，截至本公告披露日，公司與同系方盛醫療基金共同為佰駿醫療提供了1.6億元的資金資助(其中，公司向佰駿醫療提供委託貸款1.5億元，同系方盛醫療基金向佰駿醫療提供了1000萬元借款)。
在完成本次控股佰駿醫療後，公司將繼續對佰駿醫療融資需求提供便利，並承諾在2023年12月31日之前持續為佰駿醫療提供總額不低於1.87億元(含公司與同系方盛醫療基金已為佰駿醫療提供的1.6億元資金資助)的融資支持，提供融資支持的方式包括：公司或指定的第三方直接向佰駿醫療提供貸款(含委託貸款)/為佰駿醫療的債務融資提供擔保。
