上海電氣(02727.HK)擬斥資29.59億元控股贏合科技(300457.SZ)
格隆匯11月11日丨上海電氣(02727.HK)發佈公告，2019年11月11日，公司與王維東、許小菊簽署了《股份轉讓協議》，按照每股人民幣26.21元/股的價格，受讓王維東、許小菊所持的贏合科技(300457.SZ)3658.9932萬股股份，合計佔贏合科技總股本的9.73%，標的股份合計的轉讓價格約為人民幣9.59億元。
同日，王維東、許小菊簽署《放棄全部表決權的承諾函》，自公司完成對贏合科技的董事會調整，提名的董事佔贏合科技董事會半數以上席位或2020年3月31日兩者中的孰早者時，王維東、許小菊放棄其合計持有的109,769,800股贏合科技股份的表決權，棄權期限至公司及其一致行動人持有的贏合科技股份比例減去王維東、許小菊合計持有的贏合科技股份比例的差額超過10%之日止(“棄權期限”)。在股份轉讓完成且公司提名的董事佔贏合科技董事會半數以上席位後，公司即成為贏合科技的控股股東，贏合科技成為公司附屬公司，上海國資委成為贏合科技的實際控制人。
此外，2019年11月11日，公司與贏合科技簽署《附條件生效的股份認購協議》，公司擬以不超過人民幣20億元現金全額認購贏合科技非公開發行的股份。
根據披露，贏合科技致力於鋰離子電池生產設備的研發、設計、製造、銷售與服務，主要產品包括卷繞機、塗布機、疊片機、模切機等設備。作為國內最早從事鋰離子電池生產設備研發、生產和銷售的企業之一，贏合科技通過持續研發和創新，以及在鋰電池設備生產領域深厚的技術和經驗積累，獲得了國內外一線客户的廣泛認可。
贏合科技從方案設計、產品出圖、設備生產到設備調試、生產運維的各個環節進行全程跟進和服務，充份滿足客户信息化、智能化的定製需求，產品具備高品質、低能耗、交付快、爬坡快及直通率高等優勢。
截至2019年9月30日，贏合科技總股本為376,003,470股。王維東持有贏合科技132,425,910股股份，佔總股本的35.22%，王維東的配偶許小菊持有贏合科技13,933,822股股份，王維東及其一致行動人合計持有146,359,732股股份，佔總股本的38.93%。王維東和許小菊為贏合科技的實際控制人。
公告表示，通過本次交易，公司與贏合科技將建立業務合作關係，有利於充份發揮各自能力優勢和資源優勢，實現優勢互補，進一步推動雙方在新能源領域方面的共同發展，促進公司科研成果的快速轉化，提高效率，有助於提升雙方的整體實力。比如公司儲備的數字化技術、伺服及運動控制技術、MES 技術等，這些技術有效轉化後，可提高贏合科技在疊片機、卷繞機等方面的生產效率。本次交易完成後，公司將成為在鋰電設備製造領域的上市公司贏合科技的控股股東，有助於進一步優化公司的產業佈局，提升公司的整體競爭實力。
