創新醫療(002173.SZ)：對全資子公司建華醫院失去控制 擬計提商譽減值損失6.49億元
格隆匯11月11日丨創新醫療(002173.SZ)公佈，公司鑑於全資子公司建華醫院2018年度發生的未經審批私自處置土地、未經審批私自與寶信國際融資租賃有限公司簽署《融資租賃合同》等嚴重違規行為，為加強公司及子公司合規管理，強化內部控制，防範經營風險，自2019年開始，公司根據《深圳證券交易所中小板上市公司規範運作指引》及公司內部控制制度的要求，對下屬醫院子公司加強管理措施，但全資子公司建華醫院管理層對公司的相關決定拒不執行。
近日，公司年審會計師事務所立信會計師事務所派遣審計人員前往建華醫院進行2019年度財務預審工作，建華醫院管理層拒絕配合，拒不提供任何資料。公司已對全資子公司建華醫院失去控制。
根據公司2018年度經審計的財務報表，建華醫院淨資產8.10億元，佔公司合併報表歸屬於上市公司股東的淨資產36.16億元的22.40%。公司擬在董事會審議通過之後將建華醫院自2019年11月開始不再納入公司2019年合併報表，上述公司對建華醫院失去控制事項將對公司2019年度財務報表產生重大影響。
公司發行股份購買建華醫院100%股權形成商譽6.2871億元，2018年4月建華醫院完成對明珠醫院的收購，建華醫院收購明珠醫院形成商譽8758.35萬元，公司2018年度對建華醫院商譽計提減值損失6693.24萬元，公司合併報表與建華醫院有關的商譽餘額為6.4936億元，公司失去對建華醫院的控制，本年度將對上述商譽全額計提商譽減值損失，將對公司2019年度業績產生重大不利影響。
截至目前，建華醫院尚未歸還公司用於暫時補充其流動資金的募集資金2億元，且因建華醫院未能如期歸還到期債務，工商銀行齊齊哈爾建華支行扣劃公司募集資金2496.90萬元尚未歸還。
為了保證上市公司及全體股東的合法權益，公司將積極行使作為建華醫院唯一股東的權利，繼續督促並要求建華醫院積極配合預審事項，切實履行子公司的相應法定義務。同時，公司也將繼續積極與當地政府溝通，獲得當地政府的支持和幫助，儘快實施對建華醫院的有效控制。
根據會計準則的相關規定，公司擬提請董事會審議將建華醫院自2019年11月開始不再納入公司2019年合併報表，並在董事會審議通過後執行。
值得注意的是，公司鄭重聲明公司將通過包括但不限於法律訴訟等一切手段堅決維護上市公司及全體股東的合法權益。
