經緯輝開(300120.SZ)簽訂四方備忘錄 承諾長沙宇順6年累計入庫税收不低於1.2億
格隆匯11月11日丨經緯輝開(300120.SZ)公佈，公司擬以4435.64萬元人民幣(不含税)的價格向*ST宇順(002289.SZ)購買其全資子公司長沙市宇順顯示技術有限公司(“長沙宇順”)100%股權。2019年10月16日，長沙宇順完成了相關的工商變更登記手續，並獲得了長沙市市場監督管理局頒發的《營業執照》。
根據前期簽訂的《關於長沙市宇順顯示技術有限公司之股權轉讓協議》中“第5.3.1甲方與長沙高新技術產業開發區委員會簽署的針對標的公司的項目投資合同中尚未履行完畢的建設條件和承諾事項在本次交易交割完成後由乙方承接。”的約定。為釐清全資子公司長沙宇順與高開區的後續責任邊界，公司(乙方)擬聯合宇順電子(丙方)、長沙宇順(丁方)與長沙高新技術產業開發區管理委員會(甲方)就過去項目投資合同中尚未履行完畢的建設條件和承諾事項，四方以簽訂《備忘錄》的形式予以確定。
備忘錄的主要內容為：
(一)甲方支持乙方承債式收購丁方100%股權(即收購全部資產和承接全部負債)。
(二)乙方承諾保證丁方的持續經營，並繼續在甲方園區從事電子信息產業。
(三)甲方支持乙方爭取省、市各級對丁方產業的政策、資金支持。
(四)乙方和丁方承諾自2020年起6年(2020年-2025年)內，在甲方園區內年均實現實繳入庫税收不低於2000萬元人民幣(含乙方投資入股並在園區註冊的企業所繳税收)，6年累計實現實繳入庫税收不低於1.2億元人民幣。否則，乙方和丁方應在未實現納税承諾的下一年度(2026年)第一季度內，以實際繳納税收與約定繳納税收的差額部分的甲方園區實得部分為額度向甲方支付違約金。
(五)乙方和丁方承諾自2026年起的以後年度，原則上丁方在甲方園區每年實繳入庫税收儘量不低於1500萬元人民幣。
(六)乙方和丁方承諾2020年—2025年期間在甲方園區實現出口總額(以海關數據為準)不低於4.5億美元。計劃按以下標準實施：2020年5000萬美元，2021年6000萬美元，2022年7000萬美元，2023年8000萬美元，2024年9000萬美元，2025年1億美元。
(七)丁方及乙方依據本備忘錄約定在甲方園區完成1.2億元實繳入庫税收前，原則上不得采取出售丁方公司資產、變更公司股權等方式直接或間接的轉移項目土地使用權。如果確有需要轉移項目土地使用權，必須徵得園區書面同意。
(八)甲方同意支持乙方和丁方依據產業發展需求加大投資力度儘快完成項目建設及對園區升級提質。本合同為各方簽訂的所有合同、協議的有效補充，與原簽訂文書具有同等的法律效力，如相關條款約定不一致，以本備忘錄為準。
(九)本備忘錄一式捌份，經各方簽字蓋章後生效，待本備忘錄税收指標完成，甲方與乙方、丙方、丁方簽訂的【2007】-42號《項目投資合同》、【2014】-233號《項目投資補充合同》及本備忘錄效力終止。
