就合資設立經營生豬養殖項目 牧原股份(002714.SZ)與華能信託未來1年內投資總規模分別預計不超100億元
格隆匯11月8日丨牧原股份(002714.SZ)公佈，為進一步擴大公司生豬養殖規模，帶動公司經營業績及整體效益的快速提升，公司與華能貴誠信託有限公司(“華能信託”)就合作投資生豬養殖項目事項達成共識，決定簽署《戰略合作協議書》。
合作方案概述，雙方經友好協商，就華能信託與牧原股份合作投資生豬養殖項目事宜達成以下合作意向：
1.1華能信託擬與牧原股份合資設立經營生豬養殖項目的標的公司(“標的公司”)。未來1年內，華能信託投資總規模預計不超過100億元，牧原股份投資總規模預計不超過110億元。
1.2各標的公司設立後，牧原股份確保在華能信託對各標的公司實繳出資到位之日起滿1年內分別將華能信託投資資金全部投入到標的公司及其各子公司的生豬養殖項目建設中；資金閒置期間可用於牧原股份短期補充流動資金，但補充流動資金使用時間不得超過1年。
關於標的公司的治理安排及對子公司增資事項，雙方一致同意按照以下原則安排標的公司的公司治理結構及向子公司增資事項：
2.1牧原股份對各標的公司的持股比例為51%-55%。
2.2各標的公司設董事會，董事會由3名董事組成，其中牧原股份提名2名董事，華能信託提名1名董事，董事長、法定代表人、總經理由牧原股份指定，合資公司重大事項（包括但不限於合資公司及其子公司對外負債、提供擔保、利潤分配、修改公司章程等事項）應當經過董事會全體董事一致同意後根據公司章程的規定提交股東會審議。
2.3 標的公司將根據生產建設需要，以股東實繳出資資金用於生豬養殖項目建設、向牧原股份經營生豬養殖業務的其他各子公司進行增資或補充流動資金，具體增資價格在雙方協商後確定。
2.4 標的公司所投資的各子公司不設董事會，由作為其股東的標的公司委派一名執行董事、法定代表人以及總經理。
此次合作協議的簽署符合公司的發展需要，雙方在優勢互補、互惠互利、共同發展的基礎上建立意向合作關係，在法律、法規允許的情況下，開展業務合作，對公司的長遠發展有積極影響。
