華策影視(300133.SZ)與大策投資及上海雙創簽署合作框架協議
格隆匯11月8日丨華策影視(300133.SZ)公佈，公司(“甲方”)於2019年11月8日與控股股東杭州大策投資有限公司(“大策投資”或“丙方”)、上海雙創投資中心(有限合夥)(“上海雙創”或乙方)簽署了《合作框架協議》。
各方基於自身資源背景和優勢，力求達成資本、業務和品牌多層次、深度合作，共同推動文化與金融的產業融合，共同參與上海“國際文化大都市”和“創意之都”的建設，共同踐行長三角影視文化產業跨區域交流與合作。此次合作內容如下：
1、乙方或其關聯方通過受讓丙方或其一致行動人持有的甲方股票成為甲方的戰略股東，以便推進各方更深層次合作。
乙方依託自身上海市政府及上海市委宣傳部等相關資源支持，引進甲方及丙方擬設立的產業基金、產業基地等多項目落户上海，助力甲方及丙方在長三角一體化國家戰略全面推進的大背景下，深度耕耘上海市場，共同打造全球影視內容產業新高地，做大做強影視內容產業。
2、各方共同組建“長三角影視文化產業基金”，首期規模10億元，乙方積極參與該基金的籌建、募資和運作，乙方或其關聯方及甲方以雙GP形式共同管理。基金重點投向在長三角地區立項，符合國家要求、行業發展、社會需要，能通過正能量弘揚社會主義核心價值觀的影視內容作品；能夠展示中華優秀傳統文化、革命文化(紅色文化)和社會主義先進文化的具有國際傳播能力的優秀影視內容作品；以及符合長三角一體化戰略的重要文化產業基礎設施項目、高科技文化傳播渠道、影視文化人才教育培養等項目。
3、為支持上海科技影都建設，丙方已與上海市松江區政府簽訂《投資協議》，將於今年第四季度開工建設“長三角國際影視中心”項目，利用松江的區位優勢實現新的產業集聚。乙方作為上海多家政府母基金的重要出資人，承擔着扶持上海文化產業發展的使命，積極參與該項目的開發建設，並以母基金或者下屬管理資金以各種方式投入至該項目，推動國際影視中心項目落地。
4、乙方認同丙方已有的華策電影學院模式，並根據丙方的影視教育產業發展規劃，積極協助丙方在上海地區對接影視教育資源。在條件成熟時，各方組建影視教育產業子基金，共同在上海發展影視藝術教育產業。
通過此次合作，公司有望引入具備資源優勢的國資背景股東，優化股權結構，與大策投資、上海雙創簽署合作框架協議，建立密切、可持續發展的合作關係，充分挖掘和發揮各方的核心優勢，實現優勢互補和業務聯動，構建影視文化產業生態體系。此次合作符合公司及全體股東的利益，有利於公司持續、健康、穩健發展。
