天音控股(000829.SZ)：擬掛牌轉讓章貢酒業95%股權及長江實業95%股權
格隆匯11月8日丨天音控股(000829.SZ)公佈，公司擬通過產權交易所公開掛牌轉讓全資子公司天音通信有限公司(“天音通信”)持有的全資子公司江西章貢酒業有限責任公司(“章貢酒業”)95%股權及全資子公司天音通信持有的全資子公司贛州長江實業有限責任公司(“長江實業”)95%股權。
根據中聯國際評估諮詢有限公司出具的資產評估報告，評估方法採用資產基礎法評估確定評估值，截止評估基準日2019年7月31日，章貢酒業股東全部權益的評估價值約為人民幣2.83億元；長江實業股東全部權益的評估價值為人民幣5754.91萬元。公司以評估值為參考，確定此次交易章貢酒業95%股權的公開掛牌價格約為人民幣2.8億元，對應95%股權的評估值為約2.69億元，掛牌溢價率為4.10%；長江實業95%股權的公開掛牌價格為人民幣5574萬元，對應95%股權的評估值為5467.16萬元，掛牌溢價率為1.95%。因此掛牌價格不低於對應股權的評估值，交易價格將按公開掛牌競價結果確定。
此次交易以公開掛牌的方式進行，交易對方暫不確定，公司在確定交易對方後將披露交易對方的相關信息。
2019年10月，公司全資子公司天音通信與存碩實業簽署的《股權轉讓意向協議》。此次簽署的《股權轉讓意向書》僅為公司與存碩實業簽署的意向性協議，屬於雙方合作意願的意向性約定，不涉及具體交易金額，僅需支付意向誠意金(若存碩實業不參與競買，則存碩實業所交誠意金公司不予退還)，公司不保證存碩實業一定成為最終受讓人，同時存在存碩實業參與競買失敗或不參與競買的風險。
江西章貢酒業有限責任公司經營範圍：白酒生產、配製酒(露酒)生產(以上憑有效食品生產許可證經營);預包裝食品批發兼零售(憑有效許可證經營)。(依法須經批准的項目,經相關部門批准後方可開展經營活動)
贛州長江實業有限責任公司經營範圍：預包裝食品批發、零售;酒瓶回收。(依法須經批准的項目,經相關部門批准後方可開展經營活動)
公司擬出售所持章貢酒業95%股權及長江實業95%股權，該交易將有利於公司整合資源，優化公司資產結構，集中優勢聚焦主業，提質增效，同時新的合作方將為兩家公司引入新的資源，有利於兩家公司未來的經營發展。
