平治信息(300571.SZ)簽訂備忘錄 擬收購網易雲閲讀業務全部核心資產及網易文漫100%股權
格隆匯11月8日丨平治信息(300571.SZ)公佈，公司與NetEase DigitalEntertainment Limited(“NetEase Digital”)、網易(杭州)網絡有限公司(“網易杭州”)、杭州妖鹿科技有限公司(“妖鹿科技”)於2019年11月8日簽署了《股權及資產收購備忘錄》。各方本着互利互惠、共同發展的原則，經友好協商後達成合作備忘錄。
此次公司擬收購的資產包括兩部分內容，一是經各方確認後的網易雲閲讀業務全部核心資產，二是NetEase Digital持有的網易文漫100%股權。
網易杭州、妖鹿科技應在不晚於交割日後6個月內將網易雲閲讀業務全部核心資產均剝離至網易文漫，並將網易雲閲讀業務對應的供應商和客户資源、關係一併遷移至網易文漫，且網易文漫無需支付對價；從而實現網易文漫在業務、資產、人員、財務、機構等方面實現獨立，自主開展經營活動，具備持續盈利能力。已注入網易雲閲讀業務全部核心資產後的網易文漫100%股權的總對價為人民幣1.5億元。
杭州網易文漫網絡有限公司(“網易文漫”)經營範圍：技術開發、技術諮詢、技術服務:計算機軟硬件、數據處理技術;設計、製作、代理、發佈:國內廣告(除網絡廣告發布);服務:會務服務、文化藝術交流活動策劃(除演出及演出中介)、文化創意策劃、舞台設計、品牌策劃、市場營銷策劃、動漫設計;電子產品、計算機軟硬件及外圍設備、針紡織品、服裝、日用百貨、文化用品、體育用品、辦公用品、照相器材、玩具的批發、零售及進出口業務;服務:代理報關、代理報檢、知識產權代理(除專利事務代理)。(涉及國家規定實施准入特別管理措施的除外)(依法須經批准的項目,經相關部門批准後方可開展經營活動)。
