祥鑫科技(002965.SZ)擬使用募集資金向廣州祥鑫增資3.04億元及向常熟祥鑫增資1億元
格隆匯11月8日丨祥鑫科技(002965.SZ)公佈，公司擬使用募集資金約人民幣3.04億元對全資子公司廣州祥鑫進行增資，其中人民幣5000.00萬元繳付已認繳出資額，人民幣8000.00萬元增加廣州祥鑫註冊資本，人民幣約1.74億元計入廣州祥鑫資本公積。此次增資完成後，廣州祥鑫註冊資本由1億元人民幣變更為1.8億元人民幣，實收資本由5000.00萬元人民幣變更為1.8億元人民幣，公司仍持有其100%的股權。上述募集資金將全部應用於廣州祥鑫為實施主體的募集資金投資項目，其中：“大型精密汽車模具及汽車部件生產基地建設項目”2億元人民幣、“廣州研發中心建設項目”約1.04億元人民幣。
公司擬使用募集資金人民幣1億元對全資子公司常熟祥鑫進行增資，人民幣1920.00萬元計入常熟祥鑫註冊資本，人民幣8080.00萬元計入常熟祥鑫資本公積。此次增資完成後，常熟祥鑫註冊資本和實收資本均由約2.11億元人民幣變更為2.3億元人民幣，公司仍持有其100%的股權。上述募集資金將全部應用於常熟祥鑫為實施主體的募集資金投資項目，即：“汽車部件常熟生產基地二期擴建項目”。
祥鑫科技(廣州)有限公司經營範圍：車輛工程的技術研究、開發；汽車零部件及配件製造(不含汽車發動機製造)；汽車零配件設計服務；貨物進出口(專營專控商品除外)；技術進出口；新材料技術開發服務；銷售本公司生產的產品(國家法律法規禁止經營的項目除外；涉及許可經營的產品取得許可證後方可經營)；模具製造。
常熟祥鑫汽配有限公司經營範圍：汽車零部件、五金件、五金模具、鈑金件、組裝件、新能源產品五金件研發、製造、加工、銷售；從事貨物及技術的進出口業務，但國家限定公司經營或禁止進出口的商品及技術除外。(依法須經批准的項目，經相關部門批准後方可開展經營活動)
為滿足募集資金投資項目資金需求，保障公司各募集資金投資項目的順利實施，改善全資子公司資產負債結構，公司此次擬實施的增資未改變募集資金的投資方向和項目建設內容，不會對公司財務及經營狀況產生不利影響，不存在損害公司及全體股東利益的情況。此次增資完成後，將有利於募集資金投資項目的穩步推進，並使子公司的資金實力和經營能力進一步提高，符合公司戰略規劃和業務發展的需要，符合全體股東的利益。
