*ST瑞德(600666.SH)：實控人左洪波擬被給予警告並處以90萬元罰款及10年證券市場禁入
格隆匯11月7日丨*ST瑞德(600666.SH)公佈，近日，公司及相關當事人收到中國證監會重慶監管局《行政處罰及市場禁入事先告知書》(處罰字【2019】6號)。
經查明，奧瑞德涉嫌違法的事實如下：定期報告中財務報表存在虛假記載、未及時披露且未在相關定期報告中披露重大合同、重大債務違約及訴訟的情況、未及時披露且未在相關定期報告中披露關聯方資金佔用及關聯交易的情況、未及時披露且未在相關定期報告中披露對外擔保及訴訟的情況、未及時披露且未在相關定期報告中披露對外擔保及訴訟的情況。
根據本案事實、責任人員職務、責任人員實際履職情況、審議相關年度報告的會議決議、會議表決情況、年度報告書面確認意見等，對奧瑞德信息披露存在虛假記載和重大遺漏的行為以及未及時披露重大事件的行為，直接負責的主管人員為左洪波，其他直接責任人員為褚淑霞、楊鑫宏、張曉彤、丁麗、鄭海濤、路正通、吉澤升、張波、張鼎映、劉娟、劉迪、張世銘、盛海波、陶宏和左昕。同時左洪波作為奧瑞德控股股東、實際控制人還存在指使從事違法行為，構成《證券法》第一百九十三條第三款所述“發行人、上市公司或者其他信息披露義務人的控股股東、實際控制人指使從事前兩款違法行為”的行為。
根據你們違法行為的事實、性質、情節與社會危害程度，依據《證券法》第一百九十三條第一款、第三款的規定，我局擬作出以下決定：
一、責令奧瑞德改正，給予警告，並處以60萬元罰款；
二、對左洪波給予警告，並處以90萬元罰款，其中，作為直接負責的主管人員罰款30萬元，作為控股股東、實際控制人罰款60萬元；
三、對褚淑霞給予警告，並處以20萬元罰款；
四、對楊鑫宏、張曉彤、丁麗、鄭海濤給予警告，並分別處以15萬元罰款；
五、對路正通、吉澤升、張波、張鼎映、劉娟給予警告，並分別處以10萬元罰款；
六、對劉迪、張世銘、盛海波給予警告，並分別處以5萬元罰款；
七、對陶宏、左昕給予警告，並分別處以3萬元罰款。
此外，左洪波作為實際控制人、時任董事長，在奧瑞德信息披露違法行為中居於核心地位，直接組織、策劃、領導並實施了涉案違法行為，是主要決策者，其行為直接導致奧瑞德相關信息披露違法行為的發生，情節嚴重，依據《證券法》第二百三十三條和《證券市場禁入規定》（證監會令第115號）第三條第（一）項和第（二）項、第五條的規定，我局擬決定對左洪波採取10年證券市場禁入措施。
