漢鼎宇佑(300300.SZ)：平潭創投及其一致行動人將成為公司控股股東 平潭綜合實驗區國有資產管理局將成為公司實控人
格隆匯11月6日丨漢鼎宇佑(300300.SZ)公佈，2019年11月6日，公司接到吳豔(甲方)協議轉讓所持公司股份的通知：2019年11月6日，吳豔與平潭創投(乙方)簽署了《股份轉讓協議》，與平潭金控簽署了《表決權委託協議》，另簽署了《關於放棄部分表決權的承諾函》。
股權轉讓協議顯示：甲方擬向乙方轉讓其持有的目標公司股份約1.02億股，佔目標公司股份總數的15%。經甲乙雙方協商一致，此次轉讓標的股份為約1.02億股(佔目標公司總股本15.00%)，轉讓總價款為人民幣10.5億元，均以現金支付。
甲乙雙方同意，為配合乙方取得目標公司控制權，甲乙雙方將另行簽署《表決權委託協議》，確保在乙方受讓目標公司15.00%股份同時，甲方將其所持目標公司約6799.46萬股(佔目標公司總股本10%，包括上述股份因配股、送股、轉增股等而增加的股份)的除分紅、轉讓、贈與或質押權利之外的股東權利(包括但不限於股東大會表決權、提案權、提名權等)獨家、無償且不可撤銷地委託乙方行使。
為保障目標公司在控制權轉讓後核心管理團隊的穩定及目標公司的穩定經營，經雙方友好協商，甲乙雙方對目標公司在控制權轉讓的當年及未來兩年業績實現情況達成以下約定：在乙方不干預目標公司正常經營的前提下(乙方依法行使股東權利及根據本協議安排推薦董事、監事和高級管理人員並依法行使職權的除外)，甲方承諾2019年、2020年、2021年經審計的營業收入分別不低於7.84億元、10.20億元、13.25億元；經審計的淨利潤分別不低於1.37億元、1.51億元、1.66億元，且扣除非經常性損益後的淨利潤每年均為正；目標公司在業績承諾期內各年度實現的營業收入及實際淨利潤數低於承諾金額的，甲方應以現金方式對乙方進行補償，每年應補償金額為本協議第5.5條約定的剩餘未支付的5%股權轉讓款的三分之一，即人民幣1750萬元；業績承諾期間目標公司總經理由甲方指定，並保證管理層至少三年穩定。
此次協議轉讓前，吳豔持有公司約2.06億股股份，佔公司股本總額的30.34%，為公司的控股股東實際控制人。
此次協議轉讓完成後，吳豔持有公司約1.04億股股份，佔公司股本總額的15.34%，同時將其持有的公司約6799.46萬股股份(佔公司總股本10%)對應的表決權委託給平潭綜合實驗區金融控股集團(“平潭金控”)有限公司行使，並無條件且不可撤銷地放棄持有的上市公司股份總數的5.34%，即約3632.03萬股股份對應的表決權，亦不委託任何其他方行使該等股份的表決權，不在為公司控股股東及實際控制人。
此次協議轉讓實施完成，平潭創新股權投資合夥企業(有限合夥)將持有公司約1.02億股股票，佔公司總股本的15%，同時吳豔將其所持有的佔公司總股本10%的公司股份的表決權委託給平潭金控行使，平潭金控及其一致行動人平潭創投將持有25%的公司股份對應表決權，成為公司的控股股東。公司實際控制人將由吳豔變更為平潭綜合實驗區國有資產管理局。
此次協議轉讓導致公司控股股東及實際控制人發生變化。
