棕櫚股份(002431.SZ)子公司擬轉讓3家項目公司部分股權予佛山碧聯
格隆匯11月6日丨棕櫚股份(002431.SZ)公佈，公司下屬全資子公司棕櫚盛城投資有限公司(“甲方”或“盛城投資”)持有梅州市棕櫚華銀文化旅遊發展有限公司(“棕櫚華銀”)70%股權、桂林棕櫚仟坤文化旅遊投資有限公司(“桂林棕櫚”)71%股權和貴安新區棕櫚文化置業有限公司(“貴安棕櫚”)80%股權。現公司同意盛城投資以人民幣約1.36億元的價格轉讓棕櫚華銀40%的股權、以人民幣6820萬元的價格轉讓桂林棕櫚31%的股權，以人民幣8200萬元的價格轉讓貴安棕櫚41%的股權，上述股權轉讓受讓方均為佛山市碧聯房地產開發有限公司(“佛山碧聯”或“乙方”)。上述股權轉讓完成後，盛城投資仍持有棕櫚華銀30%股權、桂林棕櫚40%股權及貴安棕櫚39%股權。
梅州市棕櫚華銀文化旅遊發展有限公司經營範圍：文化及旅遊產業投資;旅遊資源項目開發;遊覽景區管理、旅遊諮詢及旅遊項目策劃、會議及展覽服務;休閒養生項目投資;文化傳播;批發零售業;園林綠化;農業、林業種植;水產養殖。
棕櫚華銀是公司“梅州市雁山湖國際花園度假區項目”的項目公司，目前景區範圍內的資產和運營權歸屬為棕櫚華銀及其下屬子公司。
桂林棕櫚仟坤文化旅遊投資有限公司經營範圍：房地產開發與銷售;文化旅遊產業項目投資開發;旅遊房地產投資開發;旅遊景區項目投資開發;酒店項目投資開發;休閒娛樂項目投資開發;生態農業項目投資開發;國內各類廣告製作發佈;會議與展覽服務;物業管理服務;企業管理信息諮詢服務(證券、期貨除外)。
桂林棕櫚是公司“陽朔三千漓山水人文度假區”的項目公司，項目總規劃面積2200畝，依託灕江山水、桂北文化和周邊景點，擬分三期打造。
貴安新區棕櫚文化置業有限公司經營範圍：法律、法規、國務院決定規定禁止的不得經營;法律、法規、國務院決定規定應當許可(審批)的,經審批機關批准後憑許可(審批)文件經營;法律、法規、國務院決定規定無需許可(審批)的,市場主體自主選擇經營。(文化旅遊產業開發經營,旅遊景區項目投資與開發,資產管理,廣告的設計、製作、代理髮布,會議與展覽服務,物業管理,企業管理諮詢。)
貴安棕櫚是公司“貴安新區雲漫湖國際休閒旅遊度假區”的項目公司，項目地處貴安新區核心地帶，以自然景觀和瑞士風情為特色，打造以田園休閒、家庭教育、生態度假、生態商務、國際居住等為主要功能的國際休閒旅遊度假區。
此次轉讓項目公司棕櫚華銀、桂林棕櫚、貴安棕櫚部分股權，是為了更好的實現公司“聚焦平台化、輕資產化、多點盈利化”的發展目標。公司通過對部分子公司資源、資產進行整合，採取出售項目公司部分股權的方式盤活現有存量資產，同時可實現部分投資收益，回籠現金流，符合公司戰略發展需要。
公司與項目公司棕櫚華銀、桂林棕櫚、貴安棕櫚各方股東合作基礎良好，項目公司目標清晰，發展路徑明確。此次交易完成後，各方股東仍將按照既定的戰略繼續開展業務合作和資源協同，此次股權轉讓事項不影響項目公司未來業務發展。此次交易完成後，棕櫚華銀、桂林棕櫚、貴安棕櫚不再納入公司合併報表範圍。
