ST慧球(600556.SH)：11月11日起停牌 預計12日刊登現金選擇權申報結果公告並復牌
格隆匯11月5日丨ST慧球(600556.SH)公佈，上市公司擬向天下秀全體股東發行股份購買天下秀100%股份，並對天下秀進行吸收合併，上市公司為吸收合併方，天下秀為被吸收合併方；吸收合併完成後，天下秀將註銷法人資格，上市公司作為存續主體，將承接(或以其子公司承接)天下秀的全部資產、負債、業務、人員、合同、資質及其他一切權利和義務，天下秀持有的約4604.01萬股上市公司股票將相應註銷，天下秀作為現金選擇權提供方將為上市公司的全體股東提供現金選擇權。此次交易完成後，天下秀的全體股東將成為上市公司的股東。
此次吸收合併中，上市公司向天下秀全體股東發行股份購買天下秀全體股東持有的天下秀100%股份的定價基準日為上市公司就此次交易召開第九屆董事會第七次會議決議公告日。發行價格為每股3.00元，不低於定價基準日前60個交易日上市公司股票均價的90%。
此次交易中被吸收合併方天下秀作價39.95億元，按照發行價格每股3.00元計算，擬發行股份數量為約13.32億股。此次交易後，天下秀持有的上市公司約4604.01萬股股票將被註銷，因此此次交易後實際新增股份數量為約12.86億股(不考慮現金選擇權因素)。
此次吸收合併將由存續天下秀(指此次吸收合併完成後尚未註銷之前的天下秀)擔任公司現金選擇權的提供方。
公司此次現金選擇權採用網下申報的方式，具體如下：1.申報時間：2019年11月11日9:30-11:30、13:00-15:00，期間公司股票停牌。2.收購價格：此次現金選擇權的行權價格為3.00元/股。3.申報方式：網下申報。
申報方式：公司提供網下申報方式，股東如需行權，在申報時間內可與公司直接聯繫。現金選擇權申報結束後，公司收集所有的行權指令，前述申報成功的股東將在公司的統一協調安排下，於 2019年11月12日至上海證券交易所簽署股份轉讓協議，經上交所審核通過後委託公司至中國證券登記結算有限責任公司上海分公司辦理股份過户手續。
此次現金選擇權的行權價格為3.00元/股，上市公司股票2019年11月5日的收盤價為9.12元/股，相對於現金選擇權行權價格溢價204%。若投資者行使現金選擇權，將可能導致一定虧損，敬請注意投資風險。
根據上海證券交易所相關規定，申報期間公司股票停牌。因此，公司股票將於2019年11月11日起停牌。公司預計於2019年11月12日刊登現金選擇權申報結果公告並復牌，具體復牌時間以公告為準。
