海信家電(000921.SZ)與海信財務公司簽署金融服務協議
格隆匯11月5日丨海信家電(000921.SZ)公佈，公司於2019年11月5日與海信集團財務有限公司(“海信財務公司”)簽署了《金融服務協議》，在該協議下就公司擬於2020年度內在海信財務公司辦理的一系列金融服務進行了約定：協議有效期內，公司將接受海信財務公司在其業務範圍內提供的一系列金融服務，包括但不限於存款服務、貸款服務、開具電子銀行承兑匯票服務、票據貼現服務及監管部門批准海信財務公司可從事的其他業務，具體業務如下：
1、公司在海信財務公司的存款每日日終餘額不超過人民幣168億元(含利息)；
2、貸款、電子銀行承兑匯票每日日終餘額不超過人民幣115億元(含利息及手續費)；
3、公司在海信財務公司辦理票據貼現服務的貼現利息每年上限不超過人民幣5000萬元；
4、海信財務公司向公司提供結售匯服務每年上限不超過3億美元；
5、海信財務公司向公司提供資金收支結算等代理類服務，服務費每年上限不超過人民幣300萬元。
海信集團財務有限公司成立日期於2008年6月12日，註冊地址：山東省青島市東海西路17號，法定代表人：周厚健，註冊資本：人民幣13億元，企業性質：有限責任公司，統一社會信用代碼：9137020071788291XT，業務範圍：根據《中國銀監會關於批准海信集團財務有限公司新增業務範圍的批覆》(銀監復〔2010〕185號)批覆，海信財務公司的經營範圍如下：1、對成員單位辦理財務和融資顧問、信用鑑證及相關的諮詢、代理業務；2、協助成員單位實現交易款項的收付；3、經批准的保險代理業務；4、對成員單位提供擔保；5、辦理成員單位之間的委託貸款及委託投資；6、對成員單位辦理票據承兑與貼現；7、辦理成員單位之間的內部轉賬結算及相應的結算、清算方案設計；8、吸收成員單位的存款；9、對成員單位辦理貸款及融資租賃；10、從事同業拆借；11、承銷成員單位的企業債券；12、除股票二級市場投資以外的有價證券投資；13、成員單位產品的消費信貸、買方信貸。海信財務公司的實際控制人為海信集團有限公司。海信財務公司不存在被認定為失信被執行人的情況。
《金融服務協議》項下的交易有利於公司進一步降低資金融資成本，保持相對穩定的外部融資規模，進一步加強規避國家貨幣政策調整風險的能力，保障公司正常生產經營所需資金供給的穩定性，同時也可以進一步提高資金運作效率。
上述關聯交易遵循公允、合理的原則，不會損害公司利益，不會對公司本期以及未來財務狀況、經營成果造成不利影響；公司主要業務不會因上述關聯交易而對關聯人形成重大依賴，不會影響公司的獨立性。
