聚燦光電(6000萬元.SZ)旗下聚燦宿遷擬引進產業發展基金增資入股
格隆匯11月5日丨聚燦光電(300708.SZ)公佈，公司全資子公司聚燦光電科技(宿遷)有限公司(“聚燦宿遷”或“目標公司”)擬通過增資擴股方式引進戰略投資者宿遷市產業發展基金(有限合夥)(“產業發展基金”)。產業發展基金擬以人民幣6000萬元的價格認購聚燦宿遷增加的註冊資本6000萬元。增資後，聚燦光電對聚燦宿遷的持股比例為95.59%，產業發展基金對聚燦宿遷的持股比例為4.41%。
宿遷市產業發展基金，是由宿遷市政府出資設立並按照“政府引導、市場運作、科學決策、防範風險”的原則運作管理的政策性資金，以服務於宿遷市產業集聚和招商引資為宗旨，通過股權投資方式重點支持區內千億級產業、特色產業，特別是未來三年擬上市企業、重點龍頭企業、成長型企業。基金採取有限合夥制，宿遷市財政局代表市政府履行出資責任為有限合夥人，華融中財投資基金管理有限公司為普通合夥人並擔任基金管理人，與公司不存在關聯關系。
各方同意設定目標公司2019-2021年淨利潤目標為不低於3000萬，6000萬，9000萬或三年累計淨利潤不低於1.8億元(以下簡稱“2019-2021年目標淨利潤”)。如果目標公司2019-2021年任一年度實際淨利潤低於該年度目標淨利潤的80%，或三年累計實際淨利潤低於以上年度累計目標淨利潤的，投資方有權選擇按照相關約定，要求公司進行股權回購。
聚燦宿遷作為公司在宿遷經濟技術開發區設立的全資子公司，亦為2017年宿遷經濟技術開發區重點招商引資工業項目。2019年上半年，實現芯片產量534萬片，較去年同期增長181.05%，產品性能穩定可靠、結構優化升級、市場佔有率不斷攀升，有力推動了上市公司實現成為國內LED芯片行業領軍企業之一的戰略目標。此次產業基金入股聚燦宿遷，主要鑑於公司優質的產業標的和良好的發展前景，實施的“資本、產業、人才”三位一體的合作模式，雙方的深入合作有助於進一步提升公司品牌影響力、知名度。
