萬邦達(300055.SZ)擬轉讓昊天節能100%股權予戴澤特及寧夏智恆達
格隆匯11月5日丨萬邦達(300055.SZ)公佈，2019年11月5日，公司召開第四屆董事會第六次會議及第四屆監事會第六次會議，審議通過《關於出售全資子公司昊天節能股權的議案》，同意將公司所持有的全資子公司昊天節能裝備有限責任公司(“昊天節能”)100%股權轉讓給惠州戴澤特投資有限公司(“戴澤特”)及寧夏智恆達機械設備有限公司(“寧夏智恆達”)，轉讓金額為人民幣2.8億元。
2014年，公司以發行股權及支付現金的方式，購買了昊天節能100%的股權，昊天節能成為萬邦達的全資子公司。此後，昊天節能借助萬邦達在資金、業務等多方面的支持，一度實現了快速發展，2014年~2016年，昊天節能分別實現營業收入5.03億元、6.36億元和5.65億元，實現淨利潤5106.6萬元、7507.8萬元和7480.5萬元。
2017年以來，受宏觀環境及商業環境變化的影響，昊天節能盈利能力出現了顯著的下滑。一方面，受國家對鋼鐵行業調控延續去產能和環保限產政策影響，鋼材、聚乙烯、聚氨酯等主材同比價格上升趨勢明顯，致使業務毛利率下降；另一方面，隨着市場的轉變和供暖採暖行業對於管道質量、保温性等需求的提升，在原有同等技術的競爭對手的基礎上，市場競爭日趨激烈，競爭的加劇帶來價格惡性競爭。此外，在京津冀地區啟動重污染天氣預警和應急響應的狀況下，昊天節能還遇到了多次停產、限產困擾，再加之資金環境的變化，昊天節能近年來應收賬款增長較快，出現較大的資產減值損失。2017~2018年，昊天節能分別實現營業收入3.74億元、4.68億元，實現淨利潤2160.9萬元、-6024萬元。
為積極應對外部環境變換帶來的挑戰，公司對發展戰略進行了積極調整。未來，公司將專注於污水處理，危固廢處理等主營業務的發展，並對整體資產進行優化和處理。考慮經營的穩健性和資產的協同性，公司擬對外出售所持有的昊天節能100%的股權。
昊天節能裝備有限責任公司經營範圍：節能環保裝備製造；節能環保項目投資；熱電設備及配件、保温管道及連接件、塑料管材的生產、銷售；管道施工安裝、供熱工程承包(憑資質證經營)；經營本企業自產產品及技術的出口業務和本企業所需機械設備、零配件、原輔材料及技術的進口業務，但國家限定公司經營或禁止進出口的商品和技術除外；市政工程施工；防腐保温工程施工；建築防水工程施工；地基與基礎工程施工；土石方工程施工；開展城鎮供熱相關技術研究，提供相關技術、諮詢服務。(依法須經批准的項目，經相關部門批准後方可開展經營活動)
此次股權出售，交易產生虧損6643.98萬元，系資產的交易價格低於資產的賬面價值。交易產生的虧損，對公司2019年的業績會產生一定影響，但預計不會對公司2019年的盈利帶來根本性的改變。
